Akoya had matured enough to be spun out by Fidelity in early 2020 to a consortium of financial services companies. In 2021, Fidelity offered a voluntary buyout to long-tenured associates, and following the pandemic, coupled with the financial and health benefits included in the package, it was an offer I could not refuse. Days later, my elderly father-in-law broke his hip, and my wife and I became his primary caregivers. It's been a blessing that I was able to contribute to his care and alleviate some of the burden on my wife. He is now in a long-term care facility, and I am eager to return to work as in-house counsel, whether on a contract basis, part time or full time. I did work briefly as a sole practitioner in 2021 and 2022, primarily helping friends, family and pro bono clients with NDAs, business formation issues, consulting agreements and license agreements. From August 2022 - July 2023, I was on the staff of Flex by Fenwick, an in-house counsel on demand business that is a subsidiary of the IP firm Fenwick & West, but did not get any engagements. I hope that you used the assistance of a WA State commercial real estate attorney to advise you in the writing and presentation of your offer to purchase a commercial property, as these can be extremely complicated. (Or, at the very least, I hope you were represented by an experienced and knowledgeable buyer's agent). To my knowledge, this type of PSA agreement is not required to be confidential unless you included that language in your offer. Please be aware that once the sale closes, the amount of the purchase price will be public information, in county records.

Can a landlord terminate an office space lease before the agreed-upon term ends?
I recently signed a lease agreement for office space for my small business, but due to unforeseen circumstances, I may need to relocate sooner than anticipated. I want to know if the landlord has the right to terminate the lease before the agreed-upon term ends, and if so, what are the potential consequences for me as the tenant? I am concerned about any financial penalties or obligations that may arise from terminating the lease early.

A landlord could agree to terminate the lease if a tenant requests it or can modify a lease to allow for an option for a tenant to vacate the premises at an earlier date. If a tenant wants to vacate the premises on an earlier date than the lease end date, either the landlord would have to agree to the earlier termination date or the tenant could be found in breach of contract. If you are considering early termination, it's advisable to communicate with the landlord to explore possible solutions, such as subleasing, assigning the lease, or negotiating a modification to the lease agreement. Can a landlord increase the rent on a commercial building lease without providing notice or justification?
I have been leasing a commercial building for my business for the past three years, and recently, my landlord informed me of a significant increase in the monthly rent. However, there was no prior notice or explanation given for this sudden increase, and I am concerned about the legality of such action. I want to know if the landlord has the right to raise the rent without providing any notice or justification, and what options I have to address this issue if it is indeed unfair or unlawful.

In a vacuum, a landlord should not have a unilateral right to raise rent. A landlord may have the right to raise rents periodically, pursuant to the lease document. It is very much a contract issue. It depends on the exact wording of the lease agreement. The lease agreement will also detail the requirements for valid notification concerning the agreement. My experience over 25 years of practice is that most building lease agreements expressly provide for base rent to increase each year. A court will enforce most reasonable rental, escalation, clauses, and lease agreements. If there is no obvious language in the lease, the question becomes whether rental increase is implied under the wording of the document or an amendment to it. At the risk of being repetitive, it depends on what the lease says, if anything at all.
