Privacy Policy

New York

Asked on Apr 21, 2021

Does my Privacy Policy need to address the CCPA?

I have a website and we have customers from across the US.

Ema T.

Answered Apr 21, 2021

If you are planning to operate in California, USA it is recomended to address the CCPA. California is the first state in the US to enact a state statute addressing the privacy rights of the state residents (but it is estimated that other states will follow). The CCPA provides specific rights for users located in CA, those include the right to know what personal data is being collected, whether this data is disclosed or sold to any 3rd party, (and to disagree to the sale), the right to access their personal data, request a deletion of their information, and more. These rights should be addressed in your privacy policy and contain additional sections and information laid out for CA residents. Is agreeing to a ToS the same as signing a contract?

I would like to learn if opt ins to website agreements are the same as signing a contract.

Ema T.

Answered Apr 21, 2021

Terms of service can be a binding contract (if your terms of service are not binding they are basically useless). In most cases, if a user had actual or constructive notice that the use of the service is subject to the terms of service and the user has accepted the terms of service online then those terms of service will become a contract just as if the user has physically signed it. If however, after signing electronically the user is also required to sign a physical copy to become a customer the physical copy will usually prevail. Any information provided as an answer to these questions does not constitute legal advice and does not create an attorney-client relationship between the attorney and anyone in relation to any information provided under the Q & A section of this website.

Cloud Services Agreement

Illinois

Asked on Feb 17, 2022

Is a SaaS agreement a license?

I have a SaaS business and am wondering if this can be used as a software license as well. We have a terms of service and privacy policy for our website, but we don't have a standalone SaaS agreement we use with customers. I think we need some sort of software license for enterprise customers, but I'm not sure. Is a SaaS agreement the same as a software license? Can a company like me just operate under Terms of Service?

Octavia P.

Answered Mar 4, 2022

This is a great question as many business SaaS providers are confused about SaaS agreements and if they are the same as a software license. There is indeed a difference between a SaaS agreement and a software license. The main difference is that a software license provides a customer the right to tangible products or services that are delivered in some format. In contrast a SaaS does not deliver products or services since the software and platform remain with the provider. As a result, a SaaS promises the customer access and use of the provider’s cloud services remotely via the internet or private network. When SaaS is being provided to enterprises or B2B clients, for their internal business purposes, providers will often use a master SaaS agreement that can be negotiated and signed. SaaS Agreement

Connecticut

Asked on May 19, 2023

SaaS agreement and liability limitations?

I am a software developer looking to create a SaaS product. I am looking to create an agreement that outlines the responsibilities and liabilities of both parties involved. I am concerned about liability limitations in the event of a dispute or breach of contract, and want to make sure that both parties are adequately protected.

Thomas L.

Answered Jun 16, 2023

I have considerable experience with SaaS agreements. Liability for errors in the software is a specific negotiation between the parties, based on what damages are likely from the errors, and always exclude consequential damages.

Asked on Apr 21, 2021

What is the difference between a Terms of Service and a Terms of Use policy?

I need terms and conditions for my website and wanted to see if there was a difference between these documents.

Ema T.

Answered Apr 21, 2021

Terms of use and terms of service are both legally binding documents that a user must agree to and abide by in order to use your website or service. The main difference is that what is usually called terms of use is intended for any user accessing (visiting) your website. Terms of service will be directed for those who not only visit the website but also choose to purchase (or try if there is a trial period) the service offered. Both documents are similar but each contains unique terms. Because both are legal documents and can be binding if the terms within them are legitimate it is recommended to have a legal professional draft them and tailor those specific terms relevant for your website and/ or service. Any information provided as an answer to these questions does not constitute legal advice and does not create an attorney-client relationship between the attorney and anyone in relation to any information provided under the Q & A section of this website.
