Earnest money in a purchase and sale agreement?
I am in the process of buying a house and have been presented with a purchase and sale agreement. I am confused about the earnest money portion of the agreement and would like to understand what it means and how it will affect the transaction. I am particularly interested in knowing what happens to the earnest money if either party decides to back out of the agreement.

Good morning. I am a WA State attorney, and I have reviewed numerous purchase and sale agreements (PSA), and have bought and sold numerous pieces of property in WA and CO. You are wise to ask this question. Since you are the buyer, normally your buyer's real estate agent would prepare the PSA for you to use, after discussing with you. Since you said a PSA "was presented to you" I"m wondering whether you are buying a new home from a building contractor. In any event, the purpose to an earnest money payment is to hold the home for you and let the seller know you are interested. In most cases, however, the seller can keep your whole earnest money payment if you back out of a purchase for reasons that are not protected in the PSA. For example, if you write your offer contingent on your subjective approval of an inspection report, or write your offer contingent on obtaining financing at terms you approve of, either one of these terms can get you out of the contract and also have your earnest money returned to you. There should be language in the PSA that clearly states what happens to the earnest money and how much earnest money you are providing. I hope that that is helpful. If you continue to have questions, I urge you to have an attorney review any and all documents, including those for loans, prior to signing anything.

I am in the process of purchasing a property and the lender has requested that I sign a Subordination Agreement, but I am unsure of what this entails and how it may affect my rights as a borrower. I want to understand the purpose and implications of a Subordination Agreement before signing it, as well as any potential risks or benefits involved in agreeing to it.

The exact situation is unclear as Subordination is usually when you are selling rather than buying. Subordination means putting something in a lower priority compared to something else. In legal and financial terms, it usually comes up when talking about loans or claims. When one party agrees to “subordinate” their claim, they’re saying: “I’ll wait in line — you get paid before I do.” There must be multiple loans or claims and bank is establishing the order they'll get paid.

If I am separating with someone I co-own a house with, not married, are there any repercussions to me moving out of the house before we have a signed agreement?
I bought a house with my boyfriend, we are now breaking up. We built the house and moved in in October 2022. It's too soon to sell and make money off of it. I am willing to move out, but I want the cash that I initially put into the house during settlement. We are attempting to come up with an agreement, which I would like an attorney to review before I sign.

Whether there are any repercussions depends upon the circumstances surrounding your purchase. For example, whether or not a mortgage exists can affect the situation. If you are on the mortgage, it would not matter what agreement you sign with your boyfriend, you are still on the hook for the mortgage unless you can negotiate with the lender to remove yourself from the mortgage. It may require your boyfriend to refinance. You are certainly making the right move by having an attorney review any agreement between you and your boyfriend. You just need to consider the third-party lender and how that may also affect you.

I am in the process of starting a small business with a partner and we are looking to draft an operating agreement. We want to ensure that all important aspects of our business are covered in this agreement, such as ownership percentages, decision-making processes, profit distribution, and dispute resolution mechanisms. We are seeking guidance on what specific clauses and provisions should be included in the operating agreement to protect our interests and ensure a smooth operation of the business.

LLC Operating Agreements are comprehensive in nature. You have identified several important provisions. Some other provisions that may be considered are capital contribution obligations, Buy/Sell provisions (including Impasse Buy/Sell), financing guarantee obligations, (if any), assignability provisions, tax allocation provisions, SPE provisions, governing law provisions, etc. The list is numerous and much depends on the nature and scope of the business and specific needs of the parties. I have participated in CLE lectures on this subject.
