Clients of ScripNet included some of the largest carriers, governmental entities, and self-insured employers in the nation, including FedEx, Starbucks, Lockheed Martin, the Cities of Dallas, Atlanta and Philadelphia as well as the State of Texas and the State of Nevada. After fifteen years of exceptional growth and class leading industry recognition, ScripNet was acquired in 2012 by Optum Healthcare Solutions. After selling ScripNet, Dennis served as Executive Vice President for the acquiring company and was successful in integrating ScripNet into the larger entity. His latest venture, HSARx, was a consumer facing Pharmacy Benefit Manager focused on the owners of health savings accounts. He sold HSARx to SwiftScript in October of 2023. Dennis obtained his Juris Doctorate from Brigham Young University where he served as Note and Comment Editor of the Law Review. He then obtained his Master of Laws in Taxation (L.L.M.) from the University of San Diego. Demand Letter

Florida

Asked on Sep 17, 2023

Costs threatened in a demand letter?

I recently received a demand letter from a person that I had a disagreement with. The letter stated that if I did not take certain actions, they would take legal action against me. The letter also mentioned potential costs associated with this legal action. I am wondering what the potential costs could be and what I can do to protect myself from incurring them.

Linda W.

Answered Sep 27, 2023

The first question I would ask, is the nature of the dispute. Is it actionable? Does the person who sent the demand letter have any legal right to bring a lawsuit against you? Typically costs associated with a lawsuit are the filing fee and service of process/summons and possibly free judgment interest, depending on the alleged violation, if it is monetary.

Settlement Agreement

Texas

Asked on Dec 16, 2023

Can settlement agreement details be public?

I recently entered into a settlement agreement with another party and am concerned about the details of the agreement being made public. I am worried that the agreement may contain sensitive information that could be detrimental to my reputation or interests if it were to be shared publicly. I am looking for guidance on the legal implications of the settlement agreement being made public and what, if anything, I can do to protect myself in this situation.

J.R. S.

Answered Jan 5, 2024

Yes, details of a settlement agreement can be made public, especially when a governmental body is involved due to the Public Information or Open Records Act. This act states that the public has a right to access information on government affairs and official acts of public officials and employees unless expressly excepted. However, there are exceptions to this general rule. For instance, disclosure of personnel information that would "constitute a clearly unwarranted invasion of personal privacy" is excepted. This is not to say that all settlement agreements are public. In some cases, parties to a settlement agreement may choose to include confidentiality clauses, which prevent the details of the settlement from being disclosed to the public or any third party. The legal rule for agreements between attorneys or parties touching any suit pending is that they will not be enforced unless they are in writing, signed and filed with the papers as part of the record, or unless they are made in open court and entered of record.

Settlement Agreement

Kansas

Asked on Dec 15, 2023

How does a settlement agreement affect future claims?

I recently entered into a settlement agreement with my former employer. The agreement requires me to release any and all claims I may have against them. I am concerned about how this agreement might affect my right to pursue any future claims I might have against them. I am seeking advice to understand how this agreement impacts my ability to pursue future claims.

Alan B.

Answered Dec 26, 2023

Your settlement could be limited to claims in the past. It’s effect on future claims will depend on: 1) the limiting language in the settlement agreement, and 2) the nature of the future claim (i.e., whether any part of the claim covered by settlement agreement language).

Lease Contract Agreement

Texas

Asked on Jun 30, 2022

What is the maximum that can be sued for in TX small claims from a commercial landlord withholding security deposit in bad faith?

I recently relocated my office and the old locations’ landlord is withholding my security deposit in bad faith, no itemized deductions for any claimed repairs, and no supporting documentation for anything reasons they are using to hold my deposit. I would like to send a demand letter to them and then prepare for small claims. I just have a question on how much i am allowed to sue for. I heard it is something like 3x of the amount, plus all other reasonable fees. Would like some counsel here.

Kelvin R.

Answered Aug 2, 2022

Justice Courts have jurisdiction of civil matters in which the amount in controversy is no more than $20,000 (or $10,000 if the case was filed prior to September 1, 2020), exclusive of interest and court costs, but including attorney fees, if any. I presume someone has mentioned to you theories of treble damages recoverable under the Texas Deceptive Trade Practices-Consumer Protection Act (DTPA) for knowing and intentional deceptive acts. While the DTPA is a broad, ranging statute, it cannot convert what appears a purely a breach of contract claim into a DTPA claim (in most instances) absent an separate act by the landlord. You should consult a contracts / DTPA lawyer who can help you evaluate the viability of your claims. Start with your lease agreement. Hope this helps. Kelvin www.roqski.com

Commercial Lease

Texas

Asked on Apr 14, 2023

What's the survival clause in a commercial lease?

I am looking to enter into a commercial lease for my new business. I am unfamiliar with the terms of a commercial lease, and am particularly interested in understanding the survival clause. This clause is important to me because I want to make sure I am fully aware of my rights and responsibilities as a tenant. I need to know what is expected of me should the lease be terminated prematurely.

Curt L.

Answered Apr 28, 2023

A survival clause is fairly standard in a lease. It extends the effectiveness of certain provisions, such as party representations, warranties, promises, and covenants beyond the expiration or termination of the lease, but not beyond the legally prescribed statute of limitations. For example, If you make a fraudulent representation in a 1-year lease, the other party to the lease who is damaged by your fraud could still sue you for that fraud even after the end of the 1-year lease.
