I believe, as an IP attorney, that I can facilitate the development of new technologies by protecting your rights from infringement or helping you enter the market by establishing those rights from the ground up. Commercial Lease
North Carolina
How is the rent determined in a commercial lease agreement?
I am a small business owner looking to rent a space for my business. I am currently in negotiations with the landlord of a commercial property and we are discussing the terms of the lease agreement. We have reached a point where we need to discuss the rent and how it will be determined. I need to understand more about how rent is determined in commercial leases so that I can negotiate a fair and reasonable agreement.
N'kia N.
In North Carolina, commercial rent is commonly calculated as a set dollar amount per square foot. This dollar amount is usually based on factors like location, age, condition, accessibility, and amenities. However, there is no requirement for rent to be determined this way. Unlike a residential lease agreement, the terms of a commercial lease agreement can be almost anything that the parties mutually agree to. As a word of caution, in North Carolina, commercial tenants do not have the same degree of legal protections as residential tenants. For just one example, a tenant who wishes to terminate a commercial lease early may be responsible for the entire remainder of the rent unless the lease agreement says otherwise.

Rent agreement/lease
Hello, I signed a lease for a commercial rental. The owner said that the previous tenant was there for over 20 years and he needed to fix the place. We signed the lease and gave him the deposit, he said that upon completion of the build out he was going to hand us the keys. I needed to buy doors and the handles. I gave him $1500. He said that he would safe the receipts. The build out is completed and he gives me a bill of 5k for things that he "had" to do. He said that the vents were too old, that he had to change the heater and other stuff. When I said no because I was not expecting to pay anything, he sends me a new bill for 12k because I was being unappreciated of the work he did. I need to know my options since I don't have the keys yet and I won't pay something that I didn't know it was needed. Thank you!
Mathew K.
It depends on if there was a written agreement or a verbal agreement for your options. Sending a demand letter from an attorney followed by negotiations could help resolve the problem and avoid litigation. If the landlord remains unreasonable then you will likely have to file a lawsuit. Please resubmit as a proposal at the following link so attorneys can bid on the project: https://www.contractscounsel.com/client/create-project/step-h1?cta=4.

Financing Agreement
New York
What legal considerations should I be aware of when engaging in cross-border financing?
I am a business owner based in the United States, and I am exploring opportunities to expand my operations into other countries. As part of this expansion, I am considering obtaining financing from international lenders or investors. However, I am unsure about the legal implications and potential challenges associated with cross-border financing. I am particularly interested in understanding the regulatory frameworks, tax implications, and any potential risks that I should be aware of before proceeding with such financing arrangements.
Arthur S.
The answer to this question is too voluminous for this format. The governing laws, rules, regulations, etc of each foreign jurisdiction must be taken into consideration prior to entering into a "cross border" financing transaction. Every lender focuses on its exit strategy in the event a loan becomes a non-performing loan...and it is incumbent upon the borrower to fully explore and understand these "exit" strategies.. I would also emphasize the need to fully understand the scope of borrower's obligations under the underwriting scope and requirements of the lender, as well as the several types of loan guarantees that may be required by the lender in any such cross-border financings.

What is a commercial lease agreement and how does it work?
I am a business owner interested in renting a commercial space for my business. I am trying to understand the details of a commercial lease agreement and how it works so I can make an informed decision about whether or not to sign a lease. I am looking for information about the terms, conditions, and other relevant details that could affect my business.
MICHAEL B.
A commercial lease agreement sets out the parameters of the space to be leased, including a description of the premises, an allocation of responsibilities for janitorial services, electrical services, tenant improvements, insurance requirements, payment of rent and payment of common area expenses, parking for employees and visitors, telephone and telecommunication services and many other issues.

What is the average Indemnity CAP a seller should quote , for a Hospital Setup. We are giving away our hospital of 200 beds to investor
David H.
Hello, my name is David hatch I am a Michigan license attorney. This question has several nuances to it. An investor is taking it over, it sounds like you're giving it to them but it's also being sold? That is unclear. It would be helpful to understand what type of indemnity the investor is seeking. It really depends upon the value of the property and the risk involved in the deal. Please let me know if you like additional assistance beyond this. I can help you out. Attorney Dave.
