Purchase and sale agreement contingencies?
I am in the process of purchasing a home and have received a Purchase and Sale Agreement from the seller. I understand that there are contingencies that must be met in order for the agreement to be valid, but I am unclear on what these contingencies are and how they will affect the agreement. I am hoping to get some insight from a lawyer on what contingencies I should be aware of and how they could affect the agreement.

Contingencies are conditions provided in the contract that need to be met prior to performance or close of escrow. In Purchase and Sale Agreements, it is usually the buyer who negotiates for contingencies to reduce or eliminate their risks prior to close of escrow. Normally, buyer’s contingencies would include appraisal reports, property inspections, mortgages, title reports or sale of another property. More often than not, sellers do not have contingencies in Purchase and Sale Agreements because they want to sell the property in a timely manner; if seller cannot deliver the property, it may deem the property not available for sale in the first place.

Can a building lease transfer to another party?
I am a tenant of a building in a commercial area. I recently received an offer from another party to take over my lease, and I am wondering if this is possible. I need to know if the lease can be transferred to the other party, and if so, what the process would be. I am also interested in understanding any potential legal implications of this transfer, as well as any other considerations I should take into account before making a decision.

If the lease does not indicate in writing that it is assignable, without any legal implications, you would need the permission of the landlord/owner. And if agreeable, then they would need to be an assignment of lease.

What's CAM charge in a commercial lease?
I am currently negotiating a commercial lease for a property where I plan to operate my business. As part of the negotiation process, the landlord has mentioned the concept of a CAM (Common Area Maintenance) charge, which I am unfamiliar with. I would like to seek the advice of a lawyer to better understand what a CAM charge is, what it covers, and what my responsibilities as a tenant would be in relation to this charge.

CAM charges are for common area maintenance. For example, in an office building, CAM charges are for maintaining the lobby, elevators, corridors, and outside areas (such as the parking lot). If you are looking at renting a space, the landlord should be able to provide you with CAM numbers for that space for the past several years, so you know what to expect.

Can a release of lien be obtained if the original lienholder cannot be located?
I recently purchased a property and discovered that there is a lien against it from a previous owner's unpaid contractor. However, I have been unable to locate the original lienholder to request a release of lien. I need to know if it is possible to obtain a release of lien in this situation, and if so, what steps I should take to ensure the lien is cleared from the property's title.

You have several alternatives. Did your original title policy insure against liens? If so, I can work with the title company to have the lien removed. Second, if the lien is old, it may have already expired and can be removed as a matter of law. Third, there are procedures in every state to remove a lien if the lienholder cannot be located.
