I am seeking legal advice on how to ensure that the partnership agreement is being adhered to.

Hello! I understand you want to know how to enforce a partnership agreement. When a signatory/party to a partnership agreement violates any of the terms and conditions contained within the agreement, the other signatory or signatories to the agreement could allege breach of contract, including breaching the covenant to act in good faith. Generally also, court have found that there is a fiduciary relationship among partners. So, another potential claim could be a breach of fiduciary duty. Generally, prior to filing of any lawsuit, courts want to see that there was a good faith effort to resolves issues prior to the filing of a lawsuit. So, if there is a way to resolve the issue without the need for litigation that could save time and money.

I am a woman who have varied ideas for businesses and who needs to have a cost line item for a good lawyer who can handle my needs (which I may not know now) in starting a consulting business in managing projects, travels, speech deliveries - story telling, and may be, some property deals among others. I am also one who have a nonprofit that needs guidance. I may be the focus brand but with for profit and nonprofit organization biases. What are the advantages and disadvantages of forming an S-Corporation for my small business?

I am a small business owner and I am considering forming an S-Corporation for my company. I have heard that there are certain tax benefits and liability protections associated with this type of entity, but I am unsure of the specifics. Additionally, I am concerned about the administrative and legal requirements of maintaining an S-Corporation and how it may impact my business operations. I would like to understand the advantages and disadvantages of forming an S-Corporation in order to make an informed decision.

Advantages of Forming an S-Corporation Tax Benefits: Pass-Through Taxation: An S-Corp does not pay federal income taxes at the corporate level. Instead, the income, deductions, and credits "pass through" to the shareholders, who report them on their personal tax returns. This avoids the "double taxation" that occurs with a C-Corporation. Self-Employment Tax Savings: As an S-Corp owner, you can divide income between salary and distributions. Only the salary portion is subject to payroll taxes (Medicare and Social Security), while distributions are not. This can reduce self-employment taxes. Tax Deductibility: Expenses such as health insurance premiums for shareholders may be deductible, along with business expenses. Liability Protection: Like other corporations, an S-Corp provides personal liability protection. Your personal assets (e.g., house, personal bank accounts) are generally shielded from business debts and legal actions against the company, provided you follow corporate formalities. Credibility: Forming an S-Corp can give your business greater credibility with customers, vendors, and lenders. It shows you are a legitimate business entity, which may help when seeking financing or contracts. Potential State Tax Benefits: Some states provide additional tax benefits for S-Corps, although this varies by state. Disadvantages of Forming an S-Corporation Ownership Restrictions: An S-Corp can have no more than 100 shareholders, and all shareholders must be U.S. citizens or residents. You also want to outline how ownership of the project will be split, and how profits/revenues will be split. Will you be forming an LLC to carry out the project? What will each party be contributing to the project - money? equipment? expertise? facilities? The MOU will be a solid working outline for then preparing a definitive, binding agreement - this could be a partnership agreement, a joint venture agreement, an LLC operating agreement, or something of that nature.

The Agreement does not indicate whether the sale has been approved by the board of directors of the company. I need to know if board approval is necessary in order for the Agreement to be valid.

Not necessarily. It depends on the By-Laws and Shareholder Agreements who has authority to issue stock. I would recommend a rep and warranty that they have the authority and all appropriate Approvals have been secured.
