Quitclaim Deed
Ohio
Precautions before signing a quitclaim deed?
I am a homeowner and I am in the process of selling my house. My buyer has requested that I sign a quitclaim deed. I understand that this deed will transfer my interest in the property, but I want to understand the legal precautions I should take before signing this document. I want to make sure that I am fully protected and do not have any legal liabilities after signing the quitclaim deed.
Jeffrey K.
A quitclaim deed conveys the sellers ownership interest in the property to the buyer with no guarantees of clear title to the property. In contrast, a warranty deed guarantees to the buyer that the seller holds clear title to the property. From a seller’s perspective a quitclaim deed is preferable in that the seller is not providing a warranty of clear title to the buyer. A warranty deed protects the buyer against title defects and is thus preferable to the buyer. If your buyer is getting a owner’s policy of title insurance, that would be sufficient to protect the buyer from defects in title.

How to correct a quitclaim deed error?
I recently purchased a home using a quitclaim deed. After I received the deed, I noticed that there was an error in the legal description of the property. I am concerned that the error may invalidate the deed, and I am looking for advice on how to correct the error.
Jeffrey K.
In Ohio, a deed can be corrected either by re-recording the prior deed with corrections made directly on it, or by recording a new deed, called corrective deed. Correcting the legal description can all be achieved through a corrective deed.

Property Sale Agreement
Ohio
What are the legal implications of including an 'as-is' clause in a Property Sale Agreement?
I am in the process of selling a property, and I am considering including an 'as-is' clause in the Sale Agreement to protect myself from any potential liability for defects or issues with the property that may arise after the sale is complete. However, I am unsure of the legal implications of such a clause and whether it would truly absolve me of any responsibility. I would like to understand the potential risks and benefits of including this clause from a legal perspective before finalizing the agreement.
Gary S.
Hello and thank you for the opportunity to respond to this very important question. First, an "as is" clause in a Property Sale Agreement shifts the risk to the buyer. The burden of due diligence is shifted to the buyer and the property is being sold in its current condition, with no warranties or representations about the property's condition. In this way, the seller's liability is limited, as the seller is generally not liable for defects, even hidden ones, that the buyer could have discovered through a reasonable inspection. However, the seller's limited liability does not apply if the seller actively conceals a defect. Also, in Ohio, when selling "as is", the seller still has a duty to disclose, and not fraudulently misrepresent, known material defects. Failing to do so can lead to breach of contract, fraud claims, rescission of sale, and potential damages. Ultimately, when property is sold "as is", the buyer is expected to conduct inspections and investigations and negotiate repair terms or price reductions. Further, selling "as is" may affect the ability to finance the sale and/or insure the property, depending on the condition of the property. It is also important to note that courts tend to scrutinize the exact wording of the "as is" clause, and a broad, well-drafted clause will offer stronger protection to the seller. Residential Lease Agreement
Ohio
Security deposits in residential lease agreement?
I recently signed a residential lease agreement for an apartment. I was informed that I would need to pay a security deposit as part of the agreement. I am trying to understand what the security deposit covers and what happens to the deposit at the end of the lease agreement. I want to make sure I am fully aware of my rights and obligations regarding this security deposit.
Georgie A.
A security deposit in a residential lease serves the following key purposes: 1. Property Protection: It covers damage or excessive wear and tear to the rental property during the tenant's stay. 2. Rent Arrears: It can be used to cover unpaid rent or other financial obligations if the tenant fails to pay rent. 3. Tenant Responsibility: It encourages tenants to take care of the property and fulfill lease obligations. 4. Landlord's Peace of Mind: It acts as insurance for landlords against potential losses. 5. Legal Compliance: Landlords must follow specific laws for holding and returning deposits. 6. Tenant Refund: Tenants get the deposit back if they meet lease terms, encouraging compliance. 7. Understanding deposit terms and local regulations is crucial to prevent disputes.

Can a landlord terminate a commercial lease early?
I have been running a small retail business for the past two years in a commercial space rented under a 5-year lease agreement. However, due to unforeseen financial difficulties, my business is struggling to stay afloat and I may need to close down. I have heard rumors that my landlord has the right to terminate the lease early, and I want to know if this is true and what my options are in such a situation.
Michelle M.
The answer to your question is contained in the lease. All rights and obligations of parties to a commercial lease are controlled by and provided for within the lease. If your lease provides for early termination by the landlord, then the landlord can exercise that option. If it doesn't provide for early termination and you are in compliance with the lease, then they can't terminate early (at least not without your consent). You should retain a local attorney who can review the lease and provide advice concerning your specific situation. Best of luck!
