Jason P.
Jason is a self-starting, go-getting lawyer who takes a pragmatic approach to helping his clients. He co-founded Fortify Law because he was not satisfied with the traditional approach to providing legal services. He firmly believes that legal costs should be predictable, transparent and value-driven. Jason’s entrepreneurial mindset enables him to better understand his clients’ needs. His first taste of entrepreneurship came from an early age when he helped manage his family’s small free range cattle farm. He also spent time working with the in-house team at adidas® where, among other things, he reviewed and negotiated complex agreements and created training materials for employees. He also previously worked with Meriwether Group, a Portland-based business consulting firm focused on accelerating the growth of disruptive consumer brands and facilitating founder exits. S Corp
North Carolina
S corp and liquidation preferences?
I am a business owner who recently incorporated as an S corporation. I am interested in learning more about liquidation preferences as I am considering bringing on additional investors to help fund the business. I want to understand the implications of liquidation preferences on my ownership and the rights of the new investors.
Nicholas M.
An S-Corp has some limitations here (such as no more than 100 share holders and only one class of stock). Depending on the control that you seek to retain in your business, you may want to transition to a full C-Corp, restructure preferred (voting) shares from equity shares, and manage your business governance (Board of Directors, Officers, Resolutions, etc.) in a way big investors will find compelling.

Project Collaboration Agreement
California
What are the key provisions that should be included in a Project Collaboration Agreement?
with background: I am currently working on a collaborative project with another individual and we want to formalize our agreement through a Project Collaboration Agreement. We plan to work together to develop and market a new software product. We have already discussed the general terms of our collaboration, but we want to ensure that the agreement covers all necessary provisions to protect both parties' interests, including ownership of intellectual property, profit sharing, dispute resolution, and confidentiality. What are the key provisions that should be included in a Project Collaboration Agreement to ensure a fair and comprehensive agreement for both parties?
Dolan W.
Hello and welcome to ContractsCounsel.com! My name is Dolan. So first things first is the scope of work. You don't want "project creep" to show up. Lawyers often have to deal with this as well because sometimes the scope of what we do is exceeded by clients on occasion, so being clear on the scope is super important. Also, if you’re both putting in money or other resources, spell out what those are and how they’ll be tracked and you might want to include details on how future expenses will be approved and who’s footing the bill for what. Confidentiality and what to do with the IP is also going to be super important, too. Also, other things like what happens if a party doesn't perform, how you'll handle disputes, where you will handle them, and where notices will be sent are super important. Also, what about decision-making disputes? Think about how those will get handled. Finally, think about profit sharing as well! Come on back to this site and we can draft one up for you!

Independent Contractor Agreement
Texas
If you 1099 could they make you pay for lunch
Working as a Flagger work 10hrs with no breaks
J.R. S.
The short answer is yes. As an independent contractor, you bear the risk of profit and loss, employee rules regarding breaks and meals do not apply, nor does the overtime rules.

Contractual Agreement
Florida
Hi there. My boss has me as a 1099 employee. Is she legally allowed to give us a contract that I have to sign?
I am a hairstylist. I pay my own taxes every year as a self employed person. Yet my boss sets rules and takes 50% of my commission. I have no idea if any of what she’s doing is legal.
Kristen R.
I would need a lot more info to answer this question.. is she directing how you do your job? Is there a contractor agreement in place? Just having you sign a contract is not illegal, however.

Buy And Sell Agreement
California
Can you please explain the key components of a Buy Sell Agreement and how it can protect my interests as a business owner?
I am a small business owner and I am currently in the process of forming a partnership with another individual to expand our operations. We have been advised to create a Buy Sell Agreement to outline the terms and conditions under which one of us can buy out the other's share in the event of certain triggering events such as death, disability, or retirement. I am not familiar with the specifics of a Buy Sell Agreement and would like to understand its key components, such as the valuation method, funding mechanisms, and how it can protect my interests as a business owner.
Dolan W.
Hello! My name is Dolan and thanks so much for coming to contractscounsel.com! A Buy-Sell Agreement is your partnership’s safety net. It sets up the rules for what happens if one of you leaves the business whether it’s due to death, disability, retirement, or just wanting out. It’s a way to avoid messy situations and keep things smooth if life throws a curveball. It's basically a set of instructions for you and your partner. One of the main things it covers is how to value the business. You don’t want to argue later about what it’s worth, so the agreement spells out how you’ll figure that out like using a formula, getting an appraisal, or updating the value regularly. It’s all about keeping things fair. In most cases, it's best just to make your best guess or hire an accountant to do it for you. Then there’s the funding part. If one of you leaves, the other needs a way to buy their share. This could mean using life or disability insurance, setting money aside, or agreeing to a payment plan. Life insurance is a popular choice because it ensures there’s cash on hand without straining the business. It also protects you by making sure shares can’t just be sold to some random outsider. Plus, it lays out exactly how the buyout process works so there’s no room for surprises or drama. It’s all about clarity and avoiding conflicts. In short, it’s a must-have if you’re starting a partnership. It keeps you both protected, helps avoid headaches. Let us know and we can draft one for you. Thanks again!
