Both sides should expect several rounds of edits with collaborative negotiation to reach a mutually agreeable final contract. For a smooth process, promptly respond to new drafts, clearly communicate requested alterations, compromise where needed, and maintain open and frequent dialogue until the agreement is finalized. Stay reasonable and transparent throughout to facilitate a positive ongoing business relationship.

Yes, confidentiality clauses are typical in contractor agreements. They are used to protect intentional disclosures, as well as incidental disclosures. An incidental disclosure is something learned by chance, such as overhearing a discussion between you and a client or seeing the client's project on your desk.
