Title issues in a purchase and sale agreement?
I am in the process of buying a piece of property, and I am currently in the middle of negotiating the purchase and sale agreement. I am concerned about potential title issues that may arise due to the history of the property, as I am not sure if the seller has clear title to the property. I would like to know what I should look out for in the agreement to ensure that I am protected from any potential title issues.

A typical purchase and sale agreement for real property (commonly called an "Offer to Purchase and Contract" in North Carolina) includes due diligence. Due diligence is the buyer's opportunity to investigate the property. During the due diligence period, the buyer will usually have the property inspected. However, the buyer may also conduct a title search on the property. Additionally, a purchase and sale agreement might specify that the deal is contingent upon the seller being able to deliver clear title to the property. Anyone who is considering entering into a purchase and sale agreement for real property should also consider at least having an attorney review the agreement. It probably would not hurt to have attorney representation throughout the transaction.

Can a Letter of Intent be legally binding?
I am in the process of negotiating a business deal with another party and we have exchanged Letters of Intent as a preliminary agreement. However, I am unsure if this document holds any legal weight and if it can be enforced in case of a breach. I want to understand the legal implications of a Letter of Intent and whether it can be considered a legally binding contract.

Short answer is yes...provided they contain the basic elements of a binding agreement. LOI's can be short and simple or extensive and detailed. Most often, LOIs are intended to provide a road map for the drafting of more formal, comprehensive binding agreements and contain an express a provision that they are not intended to be binding upon the parties to the LOI.

Acceptance of residential Real Estate Offer in Pennsylvania
Selling Agent told our Buyers Agent (i am buyer) that there was another buyer, that they would do highest & best / Best and Final offers by Sat NOON time. We provided our best and final offer by Sat at NOON. Sunday approx. 3PM the sellers agent told our buyers agent that the sellers have selected your buyers offer, it was due to removing the inspection contingency and being within 5K of the other bidder, we were very excited. We do not have a conter-signed PA real estate contract, we have an email note from the seller's agent representing the seller to our buyers agent indicating the the seller has accepted your buyers offer. My Question: the acceptance was in writing (email) and signed by sender of email - Sellers agent, specifically indicating they accepted our offer which was signed and in writing. Subsequently the sellers agent indicated when they did not sign our offer, that since they had not signed and had not signed the specific contract, that they were accepting a 2nd offer at a higher price. Any hope of wining based on the acceptance of our offer was first, it was in writing (email) and signed by sellers agent?

Did you purchase the property before or after the fire? If before, did you have insurance? If after, what was the agreement you had with respect to the insurance proceeds the Seller was to receive? The Warranty Deed is what is offered when there is a transfer of real estate and the seller warrants ownership to another. Frequently this will also involve title insurance to back up the warranty deed if there were other claims against the property

Purchase and sale agreement and inspections?
I am in the process of buying a home, and I recently received a Purchase and Sale Agreement from the seller. I'm concerned about the inspection contingency in the agreement, because I'm not sure if it protects me as a buyer if there are any issues with the home. I want to make sure my interests are fully protected in the agreement, so I'm looking for legal advice on how to properly interpret and negotiate the inspection contingency.

It is recommended that you seek the assistance of an attorney before signing any contract. In addition, it is recommended that you sign an as-is contract, because the inspection period provides you the opportunity to terminate the contract for any reason, if you are not satisfied with the results of the inspection. But you must terminate within a timely period as set forth in the contract.
