Need help with a property issue
My wife and I took over a house from a friend in August of 2008 due to his job transfer from Houston to Nigeria. We agreed to the following terms: We will continue paying the mortgage plus a second loan attached, apply for mortgage approval, and change ownership to our name. We had a written agreement. We applied for a loan in 2009 but was not approved due to poor credit. We decided to wait and continue paying and reducing the outstanding before reapplying. In August of 2021, we reapplied and were given a loan approval to assume the house in our name. Our agent requested that we should have the other party communicate with them. I called and informed him to reach out to our agent but he kept promising to call the agent but never kept his promise. About the middle of January 2022, he stopped picking up our calls. We sent several emails and he never cared to respond. We need help on what to do next.

Can I terminate an HVAC contract if the contractor fails to complete the agreed-upon work within the specified timeframe?
I hired a contractor to install a new HVAC system in my home, and we signed a contract that stated the work would be completed within four weeks. However, it has been three months, and the contractor has not finished the installation. Despite numerous promises and excuses, there has been no progress made, and I am growing increasingly frustrated. Can I terminate this HVAC contract due to the contractor's failure to meet the agreed-upon timeframe?

Simple answer...yes. The failure of the contractor to timely complete performance through no fault of the homeowner can be the basis for termination of the contract. Of course, the terms of the contract will control on this subject. It is customary for contracts to require that a written notice be provided by the homeowner to the contractor setting forth, in reasonable detail, the nature and scope of the default by the contractor and requiring that the default be cured within a state time period following delivery of the notice...failing which, the homeowner will be entitled to terminate the contract and, in certain instances, seek recovery of damages by reason of such default..

What's CAM charge in a commercial lease?
I am currently negotiating a commercial lease for a property where I plan to operate my business. As part of the negotiation process, the landlord has mentioned the concept of a CAM (Common Area Maintenance) charge, which I am unfamiliar with. I would like to seek the advice of a lawyer to better understand what a CAM charge is, what it covers, and what my responsibilities as a tenant would be in relation to this charge.

CAM charges are for common area maintenance. For example, in an office building, CAM charges are for maintaining the lobby, elevators, corridors, and outside areas (such as the parking lot). If you are looking at renting a space, the landlord should be able to provide you with CAM numbers for that space for the past several years, so you know what to expect.

Can a Real Estate Option Agreement be terminated if the seller sells the property to a third party before the option period expires? I entered into a Real Estate Option Agreement with a seller, giving me the option to purchase their property within a specified time frame. However, before the option period expired, the seller sold the property to a third party. I am now unsure of my rights and whether I can enforce the option agreement or seek any remedies for the seller's breach of contract.

Hi there, If you had a valid and enforceable Real Estate Option Agreement, the seller likely breached that agreement by selling the property to a third party before the option period expired. Here’s what you should know: Your Rights Under an Option Agreement: An Option Agreement is Legally Binding: Once you pay consideration for an option to purchase property within a specified time frame, the seller is legally obligated to keep that offer open. They cannot sell the property to someone else during that time without breaching the agreement. The Sale Does Not Automatically Terminate the Option: The seller's transfer to a third party does not cancel your rights under the option agreement. In fact, the third party may have taken the property subject to your option, especially if the agreement was recorded or the buyer had notice. You May Be Entitled to Legal Remedies: Your options may include: Specific Performance: Forcing the sale of the property to you if it is still possible. Monetary Damages: If specific performance is not available, you could pursue damages for breach of contract. Equitable Remedies: Depending on the circumstances, there may be claims for fraud, bad faith, or interference with contractual relations if the third party knew about your option. Recording the Option Agreement Strengthens Your Claim: If your option was recorded in the public land records, it puts all third parties on notice of your rights. Even if it wasn’t, the seller and potentially the third party may still be liable based on what they knew.
