I'm in general practice with an emphasis on real estate, litigation, and contracts
Michelle T.
I am an experienced, well-rounded attorney with a background specializing in trusts and estates, contracts and business law. I have extensive experience working with simple contracts all the way up to multi-million dollar deals.
"Michelle drafted an excellent and unique Post Nuptial agreement which outlines a very specific "process" that will be used to divide assets in the event of divorce. Since assets can change value daily, traditional "splitting an asset list" methods are often outdated within a week of signing. Michelle rose to the challenge at a very reasonable price. Other, "meter man" attorneys would have charged at least 5x more. I highly recommend Michelle!"

Randy M.
Hi, I'm Randy, and I've been practicing law for over 30 years with a genuine passion for contracts and legal drafting. I spent nearly 15 years running my own solo practice in Richmond, Virginia, where I built a thriving firm helping everyone from small business owners to entertainment professionals navigate their legal needs. Those years taught me that great contracts aren't just about covering all the bases legally - they're about understanding what my clients actually need and translating that into clear, enforceable agreements. My sweet spot is contract drafting across a wide range of areas. I've written hundreds of LLC operating agreements (both single and multi-member), prenuptial and postnuptial agreements, residential and commercial leases, independent contractor agreements, service contracts, NDAs, consulting agreements, and corporate formation documents. I also have extensive experience in estate planning documents - wills, trusts, powers of attorney, and living wills - plus employment agreements and entertainment law contracts. These days I'm based in New York City, but I work with clients nationwide on contract matters. What I love most about this work is taking complex business relationships and turning them into documents that actually make sense and protect everyone involved. Whether you're a startup founder needing your first operating agreement or an established business updating your contractor templates, I focus on creating contracts that work in the real world, not just on paper. After three decades of practice, I still get excited about a well-crafted contract. Let's talk about how I can help with yours.
"Randy conducted a review of legal templates we had put together. His feedback was comprehensive, helpful, and actionable. He stayed within our budget, was responsive, and provided additional legal context without having to ask."

SaaS Agreement
Connecticut
SaaS agreement and liability limitations?
I am a software developer looking to create a SaaS product. I am looking to create an agreement that outlines the responsibilities and liabilities of both parties involved. I am concerned about liability limitations in the event of a dispute or breach of contract, and want to make sure that both parties are adequately protected.
Thomas L.
I have considerable experience with SaaS agreements. Liability for errors in the software is a specific negotiation between the parties, based on what damages are likely from the errors, and always exclude consequential damages.

Does my Privacy Policy need to address the CCPA?
I have a website and we have customers from across the US.
Ema T.
If you are planning to operate in California, USA it is recomended to address the CCPA. California is the first state in the US to enact a state statute addressing the privacy rights of the state residents (but it is estimated that other states will follow). The CCPA provides specific rights for users located in CA, those include the right to know what personal data is being collected, whether this data is disclosed or sold to any 3rd party, (and to disagree to the sale), the right to access their personal data, request a deletion of their information, and more. These rights should be addressed in your privacy policy and contain additional sections and information laid out for CA residents. Any information provided as an answer to these questions does not constitute legal advice and does not create an attorney-client relationship between the attorney and anyone in relation to any information provided under the Q & A section of this website.

What is the difference between a Terms of Service and a Terms of Use policy?
I need terms and conditions for my website and wanted to see if there was a difference between these documents.
Ema T.
Terms of use and terms of service are both legally binding documents that a user must agree to and abide by in order to use your website or service. The main difference is that what is usually called terms of use is intended for any user accessing (visiting) your website. Terms of service will be directed for those who not only visit the website but also choose to purchase (or try if there is a trial period) the service offered. Both documents are similar but each contains unique terms. Because both are legal documents and can be binding if the terms within them are legitimate it is recommended to have a legal professional draft them and tailor those specific terms relevant for your website and/ or service. Any information provided as an answer to these questions does not constitute legal advice and does not create an attorney-client relationship between the attorney and anyone in relation to any information provided under the Q & A section of this website.

Software agreement and governing law?
I am a software developer and I am currently in the process of negotiating a software agreement with a potential customer. I am looking to understand which governing law would apply to such an agreement. This is important for me to understand in order to make sure that both parties are adequately protected in the event of any disputes or other issues that may arise from the agreement.
Thomas L.
I have drafted software agreements for countries throughout the world, and in nearly every US state. I can give an analysis of your various choices.

SaaS agreement and customizations?
I recently started a software as a service (SaaS) business and I am looking for legal advice related to SaaS agreements and customizations. I need to understand what is legally required in order to customize my SaaS offering for my customers and ensure that I am in compliance with all applicable laws and regulations. I am also looking for advice on how to structure my SaaS agreement to ensure that my customers are adequately protected.
Thomas L.
SaaS agreements are not specifically regulated by law. Thus the principal issue is financial responsibility for outages, loss of data, and failure to meet transaction rate requirements.
Quick, user friendly and one of the better ways I've come across to get ahold of lawyers willing to take new clients.
