Witnessing a business contract: required?
I am a small business owner who is considering signing a business contract with another party. I am aware that contracts are legally binding documents, and I want to ensure that I am making the best decision for my business. I am wondering if it is necessary to have a witness present when signing the contract, and what the implications of not having a witness present would be.

It is not necessary to have a witness(es) witness the signing of a contract, but it can be helpful if you later wanted to content that you were coerced into signing or agreeing to terms that you protested. However, if you have such concerns, you should not sign any contract. The advantage of having a notary witness a signing is that a WA State notary will check the legal indentification of all signatories to a contract and ensure they are who they say they are; appear to be competent to understand what they're signing; etc.

Can a business partner unilaterally dissolve a partnership without the consent of the other partner?
I am currently in a business partnership where my partner and I had a verbal agreement to run a small retail store together. However, recently my partner has expressed interest in dissolving the partnership and has threatened to do so unilaterally, without my consent. We do not have a written partnership agreement in place, so I am unsure of my rights and what actions I can take to protect my interests in the business. I am seeking legal advice on whether my partner can dissolve the partnership without my consent, and what steps I can take to protect my rights and investments in the business.

Speaking generally, a court could find that a business partnership exists even though verbal - the court would look at many factors, such as the length of the agreement, common/daily practices, etc. I suggest that you have a hear to heart talk with your partner, and discuss why he or wants to dissolve the arrangment. Ask if he or she would be willing to continue if some changes were made. Also ask if he or she would be willing to enter into a written agreement. If so, each of you should be represented by your own business contract attorney.

Is confidentiality required in an asset purchase agreement?
I am considering purchasing a business asset and the seller has presented me with an Asset Purchase Agreement. I understand that these agreements typically contain confidential information, but I am not sure if confidentiality is required in this particular agreement. I would like to know whether confidentiality is necessary and what the consequences might be if the agreement is not kept confidential.

There is no requirement for confidentiality in ANY type of contract; this is a negotiated term, like all other terms in any contract (except that in some instances, such as WA State Residential Landlord/Tenant contracts, state law may supercede terms in a lease that would violate the law). As far as breach of a confidentiality term (or any other term) in a contract, often the contract itself will state what the consequences may be for a breach - however, if this is not specified, the other party could sue for breach of contract - what a court may decide to award would generally be based on the amount of damages the Plaintiff incurred by having the breach occur. If you are considering buying a business, I urge you to have all paperwork, your business plan, your finances, and all other important documents and information reviewed by a business attorney prior to signing anything at all.

I am in the process of purchasing a business and have been presented with a Purchase and Sale Agreement. I am looking to better understand the governing law that would be applicable to this agreement, and any potential implications for the agreement. I am looking for advice on the law that would be applicable to this Purchase and Sale Agreement, and the potential implications for the agreement.

Good morning - I am a WA State attorney. The purchase and sale agreement should, itself, specify the governing law that would be applicable; if that term is not already part of the PSA you were presented, it should be added. If you are buying a business in WA, normally the PSA will say that WA law will apply, but if you are buying a franchise, it's possible that the PSA will say something like that law of Delaware may apply. Washington has good governing law for this type of agreement. I also suggest that you discuss any concerns with your buyer's agent, and possibly request a WA State attorney to review all the documents before you sign anything.

Can an influencer agreement be terminated by the brand without notice?
I am an influencer who has been working with a brand under a signed influencer agreement for the past year. The agreement does not explicitly mention termination rights or notice periods. However, recently the brand abruptly terminated the agreement without providing any notice or explanation. I am now unsure if this termination is legal and if I have any rights to seek compensation or challenge the termination.

It would be a good idea for you to have the agreement reviewed by an attorney. You said there's no explicit language regarding termination or notice - is there something implied? With no language regarding termination, most likely either party can terminate at any time, with just a moment's notice, and no reason given.
