Can a lawyer increase the retainer fee outlined in the retainer agreement after the agreement has been signed?

I recently hired a lawyer to represent me in a legal matter, and we entered into a retainer agreement that outlined the scope of the representation and the retainer fee required. However, after a few weeks, the lawyer informed me that they would be increasing the retainer fee due to unexpected complexities in my case. I am wondering if this is permissible under the retainer agreement, or if I have any rights to challenge this increase and continue with the original agreed-upon fee.

Thank you for your question. The answer is going to sound a bit vague, but a retainer agreement is a type of contract - like any contract, the answer depends on the terms of the agreement itself. Please read the agreement very carefully, and see whether or not an increase in the retainer is allowed or not under the terms of the agreement as written. Also, please note that most often, a retainer is simply a down payment on hourly fees that will be charged - if that's the case, the attorney will have more flexibility in asking you to pay in advance. If, on the other hand, you are being charged a flat fee for a service, the attorney may have less flexibility in changing the terms. Is confidentiality required in an asset purchase agreement?

I am considering purchasing a business asset and the seller has presented me with an Asset Purchase Agreement. I understand that these agreements typically contain confidential information, but I am not sure if confidentiality is required in this particular agreement. I would like to know whether confidentiality is necessary and what the consequences might be if the agreement is not kept confidential.

There is no requirement for confidentiality in ANY type of contract; this is a negotiated term, like all other terms in any contract (except that in some instances, such as WA State Residential Landlord/Tenant contracts, state law may supercede terms in a lease that would violate the law). As far as breach of a confidentiality term (or any other term) in a contract, often the contract itself will state what the consequences may be for a breach - however, if this is not specified, the other party could sue for breach of contract - what a court may decide to award would generally be based on the amount of damages the Plaintiff incurred by having the breach occur. If you are considering buying a business, I urge you to have all paperwork, your business plan, your finances, and all other important documents and information reviewed by a business attorney prior to signing anything at all.

Witnessing a business contract: required?

I am a small business owner who is considering signing a business contract with another party. I am aware that contracts are legally binding documents, and I want to ensure that I am making the best decision for my business. I am wondering if it is necessary to have a witness present when signing the contract, and what the implications of not having a witness present would be.

It is not necessary to have a witness(es) witness the signing of a contract, but it can be helpful if you later wanted to content that you were coerced into signing or agreeing to terms that you protested. However, if you have such concerns, you should not sign any contract. The advantage of having a notary witness a signing is that a WA State notary will check the legal indentification of all signatories to a contract and ensure they are who they say they are; appear to be competent to understand what they're signing; etc.

I am currently in the process of entering into an Advisory Agreement as an advisor for a startup, and I want to ensure that my interests and rights are protected. I have heard that there are certain clauses that should be included in such agreements, such as confidentiality, non-compete, and indemnification clauses, but I am not sure which clauses are essential and how to draft them effectively. I would appreciate your guidance on what specific clauses should be included in the Advisory Agreement to safeguard my interests and ensure a fair and mutually beneficial relationship with the startup.

If you are a non-attorney who will be entering into a contract to be an advisor for a start-up, I cannot urge you strongly enough to have an experienced business contract attorney draft the agreement for you so that it strongly benefits and protects you, and also advises you on the business structure for your business, as well as what type(s) of business insurance you should buy to protect yourself. Some of the clauses you mentioned, such as a non-compete, protects the business, not you. The contract you submit to the startup should attempt to protect you to the fullest extent possible, not the other way around. The startup (if the people behind it are smart/and or being advised by an attorney) will attempt to negotiate some terms that benefit them. Also, be aware that certain provisions in contracts, such as non-compete clauses, are covered by statutes, and must be followed to be enforceable. I have been an attorney since 1986, yet I would never attempt to write a contract from scratch - even I would hire an experienced business contract attorney to handle this to protect me. I am not trying to "sell" legal help - there are many things lay people can handle successfully on their own. This, however, is not one of them. An experiened business contract attorney will have a boilerplate/well used template that he or she can pull out of their computer that will have a zillion provisions in it that won't occur to you, and will be in the contract as a result of the outcome of endless years of court decisions. It will actually cost you less to have the attorney come up with something for you than to try and write something yourself and have an attorney review it and try to edit it, or to represent you in court if things go sideways. I apologize - I don't at all mean to sound harsh in any way - consider my comments to be a "red alert" warning you of the danger you could be facing trying to draft something like this for yourself, especially if you're to be an advisor for a startup business of any sort. If you were merely trying to write a contract for the sale of a lawn mower for $100, I wouldn't have said anything but "find something on the internet." This is a far more dangerous situation than that. Can an influencer agreement be terminated by the brand without notice?

I am an influencer who has been working with a brand under a signed influencer agreement for the past year. The agreement does not explicitly mention termination rights or notice periods. However, recently the brand abruptly terminated the agreement without providing any notice or explanation. I am now unsure if this termination is legal and if I have any rights to seek compensation or challenge the termination.

It would be a good idea for you to have the agreement reviewed by an attorney. You said there's no explicit language regarding termination or notice - is there something implied? With no language regarding termination, most likely either party can terminate at any time, with just a moment's notice, and no reason given.
