July 29, 2023 My name is Diamond Simpson Roberts, ESQ, MSPH and I am convinced that I can be a value added asset to most any company. As the first in my family to graduate a four-year university, I graduated from Wayne State University Law School in 2000 but could not afford a bar prep course upon completion. After over 20 years, I sat for the July 2022 UBE, successfully passed and am currently licensed in three states! This is an example of my self-motivation, internal drive and passion. I offer over 28 years of diverse experience in healthcare, strategy, sales/marketing, legal/policy and business savvy. I have many years building, leveraging, and sustaining long term relations to drive revenue as an entrepreneur and for corporations. My analytical strengths provide me with an innate ability to think through tough situations/topics while viewing both vantage points (which is excellent for law and life). I have been appointed to serve on numerous committees due to my heightened ability to identify client issues and priorities and provide solutions based upon relevant products, services and needs. I have led teams with and without authority; specifically, I have managed teams for an Adult Foster Care Facility called Etonne Cares, during my post-graduate fellowship with the largest Catholic Healthcare System in the U.S. and during my two-year executive order appointment with the Federal Government (Presidential Management Fellowship). Most importantly, I am a collaborative team player who knows how to improvise, overcome and adapt! I offer numerous years of being a pharmaceutical trainer and being an adjunct using the online platform. I welcome the opportunity to continue in the interview so that I may further highlight the skills I can (and will) contribute to my success in the role. Respectfully, Diamond Simpson Roberts, ESQ, MSPH DQSSIMPSON@GMAIL.COM M: 313-942-6747

In my thirteen years of practice, I've had the opportunity to argue cases in state, federal, and tribal courts; in subjects as diverse as gaming, land tenure, water rights, treaty rights, finance, employment, criminal defense, conflict of laws, and tort (among others). But the real value I brought my clients came through avoiding litigation, fostering relationships, and developing long-term strategies.

Freelance Contract

Washington

Asked on Sep 13, 2024

Can a freelance contract be terminated by the client without notice?

I recently entered into a freelance contract with a client to provide graphic design services for their marketing campaign. The contract did not specify any notice period for termination by either party. However, after completing a significant portion of the work, the client suddenly terminated the contract without any warning or explanation. I would like to know if they had the right to do so without providing any notice, and if I have any recourse for the work already completed.

Merry K.

Answered Oct 11, 2024

If the contract did not specify any notice period for termination, either party can terminate without advance notice. And, yes, there is a way to receive compensation for the work you have already completed - I hope that you kept track of your hours or at least have a way to put a value on the work completed to date. You may want to start with your own letter to the other party (sent in a way that you will get a signed receipt), and, if that doesn't succeed, you can consider Small Claims Court if the value is under $10,000, or Superior Court if the value is over $10,000. Sometimes it's possible to resolve matters through mediation - you may want to propose that to the other party.

Photography Usage Rights Agreement

Washington

Asked on Aug 23, 2024

Can a photographer include a clause in a license agreement that prohibits the client from editing or altering the photographs?

I recently hired a photographer to take some professional headshots for my business. The photographer sent me a license agreement that includes a clause stating that I am not allowed to edit or alter the photographs in any way without their express permission. While I understand the importance of protecting the photographer's work, I also want to have the flexibility to make minor adjustments or enhancements to the images for my specific business needs. I'm wondering if this clause is legally enforceable and if there are any potential repercussions if I were to make edits without seeking permission.

Merry K.

Answered Sep 3, 2024

When entering into any type of contract with anyone and about anything, one of the parties can include any terms they desire as long as the term is not illegal. If you signed the license agreement before the photographer completed the work for you, you will need to seek and obtain express permission to edit or alter the photographs. If, however, the photographer sent you the agreement after he or she completed the work, including sending you the photos, and you paying for it, the photographer can't make you sign a contract after the fact, and such terms would likely not be enforceable. If you signed the agreement before the work was done, and you alter the photos, the photographer could sue you for breach of contract, copyright violation, and perhaps a few other types of intellectual property claims. If you like the photographer's work, it's best to work out arrangements with him or her or the company, because you may want a good relationship with them going forward. Moreover, the photographer may have a better skillset in regards to editing the photos to meet your needs. Please note that I am not accepting new work until the end of October - I just wanted to answer your question; I'm turning down all offers of work at this time. I also do not engage in litigation any more.

Waiver And Release

Washington

Asked on Aug 19, 2024

Can a Release and Waiver Agreement protect me from liability if someone gets injured while participating in an activity I organized?

I recently organized a charity event where participants engage in physically demanding activities such as obstacle courses and sports. I want to ensure that I am not held liable for any injuries that may occur during the event, so I am considering having participants sign a Release and Waiver Agreement. However, I am unsure if this agreement would actually protect me from potential legal claims and if there are any specific requirements or limitations I should be aware of when drafting the agreement.

Merry K.

Answered Sep 13, 2024

First, if a participant is under 18, their parent or legal guardian must sign for them. Second, all these types of releases/waivers do is slow people down or discourage them from suing, but a good attorney can get around most of these (especially ones you buy off the internet). You should, at a minimum, make a good effort to ensure that all activities are as safe as possible, and also make sure you, your Board members, staff, and the organization are covered by solid insurance. I'm not trying to discourage you - I just want you to be very careful.

Waiver

Washington

Asked on Sep 10, 2024

Can a waiver signed by a participant in a recreational activity protect the activity organizer from liability for injuries caused by their negligence?

I recently participated in a recreational activity organized by a local company, and before participating, I was required to sign a waiver releasing the company from any liability for injuries. During the activity, I sustained a serious injury due to the organizer's negligence in maintaining the equipment. I am now wondering if the waiver I signed is legally enforceable and if it can absolve the company from responsibility for their negligence, or if I still have grounds to seek compensation for my injuries.

Merry K.

Answered Sep 13, 2024

I am very sorry to hear about your injuries, and wish you a speedy and quick recovery. Many attorneys who practice full-time in personal injury law (I'm not one of them) can overcome a release and waiver. Moreover, it's often possible to go after more than just the company in this type of circumstance - there's the company, but there's also the Board, there are individual employees, and there is the manufacturer of any equipment uses (this would be a products liability matter). In Washington, you have at least a year to sue for personal injury. I recommend that you talk with at least three personal injury attorneys. They will want you to have a time line of the event and all the medical treatment you received, and will want to see all your medical records. You don't need someone in your county - it can be anyone licensed in WA State.

Royalty Agreement

Washington

Asked on Jun 15, 2025

Is it possible to negotiate the terms of a royalty agreement for my creative work?

I am an independent artist who recently received an offer from a publishing company to use my artwork for merchandising purposes. They have provided me with a royalty agreement, but I am unsure about some of the terms and whether they are fair. I believe that my artwork has significant commercial potential, and I want to ensure that I am adequately compensated for its use. Therefore, I am seeking legal advice on whether it is possible to negotiate the terms of the royalty agreement to better protect my interests and maximize my potential earnings.

Merry K.

Answered Jul 11, 2025

I do not consider myself an expert in this area, but a royalty agreement is a type of contract, and there are several things for you to know about contracts in general. In no particular order: 1. The terms of any contract can be negotiated; 2. Any time a company hands someone any type of contract the company wrote, almost all terms will favor the company and not the other party signing the contract; and 3. Any time one is considering signing a contract for any type of real value, it's best to have a contracts attorney review the contract, advise you, and help you negotiate terms that are more favorable to you. (I'm not trying to push work for attorneys - I'm suggesting this to protect you). If you were signing a contract to have a kid mow your lawn once a week, you typically would not need an attorney - but for something like this, you were wise to ask questions. You can find contracts attorneys through wsba.org, and looking through the Directory under "contracts" or of course through ContractsCounsel.com. Whatever attorney you hire for a consultation, review, advice, or negotiation for something so important, please be sure to look into the attorney's reviews, education, experience, etc, just like you would for any other "expensive employee." Good luck to you, and I wish you every success. As a PS, this type of contract is outside my wheelhouse - just posted these comments to try and be of help to you. Best, Merry
