Service Provider Agreement

Virginia

Asked on Dec 12, 2021

What contracts do I need for my business?

Hello, My name is Brian Vargas and I’m the CEO & Founder of chorrz.com - an e-commerce platform website that will provide apartment cleaning services through leveraging partnerships with local cleaning providers. My company CHORRZ would operate as follows - I would be partnering with local cleaning providers - (i.e., Marie’s Cleaning Service) who already have their own insurance and this entity would be providing the clean upon being booked by the apartment resident through my platform, chorrz.com. These cleaning providers would effectively be independent contractors and not my employees as CHORRZ is only the platform for seeing local cleaners to book a clean from. My question relates to which type of contract or agreement is suitable for this style of business? A Service Partnership Agreement or maybe an Independent Contractor Agreement? I’ll be partnering with cleaning businesses run by 1 person (the owner) and cleaning companies with multiple cleaners employed. Kind regards, Brian

I suggest you have a consultation with an attorney. A service agreement or independent contractor contract may work depending on the circumstances. Best of luck with your new venture.

Independent Contractor Agreement

North Carolina

Asked on Nov 13, 2023

What are common pitfalls in contractor agreements?

I am a small business owner looking to hire an independent contractor to help with some of my workload. I am concerned about entering into an agreement with the contractor and would like to know more about common pitfalls in contractor agreements so that I can ensure I am entering into a fair and equitable arrangement.

Peter R.

Answered Nov 14, 2023

There are several potential pitfalls that can be mitigated or removed by addressing them in the contract. These include: whether the contract calls itself an independent contractor agreement but yet fails the test for an independent contractor and therefore brings in matters such as workers compensation coverage (depending on number of employees), liability for contractors acts or omissions, unemployment tax, tax withholding v 1099 and several others. These can be eliminated via proper drafting.

Asset Purchase Agreement

North Carolina

Asked on Oct 13, 2023

Does an asset purchase agreement need notarization?

I am in the process of purchasing a business and need to understand the requirements of an asset purchase agreement. I have been told that some agreements need to be notarized, and I wanted to confirm if an asset purchase agreement is one of those documents. I am looking to ensure that I am taking all the necessary steps to complete the purchase of the business smoothly and efficiently.

N'kia N.

Answered Oct 17, 2023

There is no general law requiring an Asset Purchase Agreement to be notarized. However, there might be laws requiring that other documents that are part of the deal be notarized. This would depend on factors like the type of document and the governing jurisdiction. Anyone who has questions on handling their Asset Purchase Agreement, or other documents that are part of an asset purchase deal, should consider consulting with a knowledgeable attorney in the appropriate jurisdiction.

Business Purchase Agreement

Texas

Asked on Oct 16, 2023

Does a business purchase agreement need witnesses?

I am considering purchasing a business and I am in the process of drafting a business purchase agreement. I understand that certain documents and agreements require witnesses to be present, but I am unsure if a business purchase agreement is one of them. I would like to know if a business purchase agreement needs witnesses or not.

Michael A.

Answered Nov 10, 2023

A Business Purchase Agreement does not REQUIRE witnesses. However, witnesses, if unaffiliated and uninterested 3rd parties, witness the execution signatures on the Business Purchase Agreement, it may become important if a dispute arises between buyer and seller.

Rental Agreement

New York

Asked on Aug 29, 2022

Is this considered a form of misinterpretation leading to a breach of contract ?

I LIVE IN FLORIDA AND I NEED A LAWYER WHO PRACTICES IN THE STATE OF NY TO REVIEW A EQUIPMENT RENTAL CONTRACT THAT WAS SIGNED AND AGREED UPON FOR JULY 30,2022 IN BROOKLYN, NY. THE LOCATION OF THE EVENT WAS RELOCATED DUE TO UNFORESEEN CIRCUMSTANCES. THE NEW LOCATION WAS ONLY 2.5 MILES AWAY FROM THE ORIGINAL LOCATION. I NEEDED TO CHANGE THE TENT SIZE TO A SIZE THAT CAN FIT INTO OUR NEW FACILITY. WAS NO LONGER NEEDED BUT SERVICES AND OTHER CONTRACTED EQUIPMENT WERE STILL NEEDED. COMPANY STATES SINCE I WANT TO DOWNSIZE THE TENT I AM CANCELING WHICH IS NOT THE CASE. I ADVISED THE OWNER ABOUT HIS ASSISTANT MISLEADING ME INTO BUYING A SMALLER TENT THAN WAS NEEDED. THE TENT HAS A CAPACITY OF ABOUT 500 PEOPLE ONLY, BUT I WAS TOLD THAT 1200 PEOPLE CAN FIT. I HAVE ATTEMPTED TO WORK WITH THE OWNER AND HAS REFUSED TO WORK WITH ME AND HAS FOUGHT THE TWO DISPUTE CLAIMS I HAVE MADE WITH THE BANK. OWNER CXLD CONTRACT AND STATES THAT I CANCELLED IT BY WANTING TO MAKE A CHANGE TO THE TENT. NOWHERE ON THE CONTRACT STATES CHANGES CAN’T BE MADE. I SPENT $9,298.00 AND I HAVE NOTHING TO SHOW FOR IT. THE CONTRACT IS VERY AMBIGUOUS. CAN THIS BE CONSIDERED A BREACH OF CONTRACT WITH THE MISINTERPRETATION OF THE TENT?

You need to consult an attorney to review the terms of the contract.
