I graduated from the University of Wisconsin Law School. Upon graduation, I went to McDermott, Will & Emery in Chicago and practiced corporate, real estate and tax law. I then joined Godfrey & Kahn where I became a shareholder in the real estate group, head of real estate lending and continued to practice corporate law. At these firms, I received excellent training and represented some of the largest and most innovative clients in the US. After practicing law for 15 years, I founded a real estate development company. I built a multi-million dollar company and developed many significant projects. I continued to hone my legal skills at these companies by negotiating and drafting countless documents for my businesses. Waiver
New Jersey
Should I have my gym members sign a separate liability waiver or is it fine to put language in my membership agreement?
I run in gym in New Jersey and currently have a clause in my membership agreement that covers our liability. I want to understand if that is enough or if I should have a separate document for my members to sign.
Jane C.
Yes. If worded correctly, a liability waiver is effective. Note that a few states do not allow liability waivers and others have strict requirements for their enforceability. Sponsorship Agreement
New York
Can a sponsorship agreement be terminated if the sponsor fails to fulfill their obligations?
I am currently in the process of negotiating a sponsorship agreement with a potential sponsor for an event I am organizing. However, I have concerns about the sponsor's ability to fulfill their obligations as outlined in the agreement, such as providing financial support and promotional materials. I would like to know if there are any legal grounds for terminating the agreement if the sponsor fails to meet these obligations, and what steps I should take to protect myself and my event in such a situation.
Damien B.
If the sponsor doesn't fulfill their obligations as outlined in the agreement, it could be considered a breach of contract. You would refer to any termination clause or event of default clause in the agreement. You would want to have an agreement with a termination clause to protect yourself and possibly an event of default section. Outside the agreement, you would want to document all communication regarding the matter. Feel free to reach out if you have a follow-up question.

Franchise Agreement
Washington
Can a franchisor make changes to the Franchise Disclosure Document after it has been provided to the potential franchisee?
I am considering investing in a franchise and have received the Franchise Disclosure Document (FDD) from the franchisor. However, I recently learned that the franchisor has made significant changes to the FDD, including updates to the financial statements and other material information. I am concerned about these changes and wonder if it is legal for the franchisor to make modifications to the FDD after it has been provided to potential franchisees.
Merry K.
A franchise agreement is a type of contract. Like any other contract negotiation, either party can propose whatever changes they want during the negotiation stage. Once the contract is signed, one party usually cannot make any amendments to a signed contract - UNLESS the terms of the contract allow one party to do so. To protect yourself and your money, please review any and all agreements with a business contracts attorney prior to signing. An attorney can sometimes also help you negotiate terms that will be more favorable to you. Meanwhile, do not invest any money that you can't afford to lose. I'm sorry, I'm not available to help you with this, but there are many fine attorneys on Contracts Counsel who can help you.

Graphic Design Agreement
New York
Can a graphic design agreement be terminated if the client is unsatisfied with the designer's work?
I recently hired a graphic designer to create a logo for my business, and we entered into a graphic design agreement that outlined the scope of work, payment terms, and timeline. However, I am unsatisfied with the designer's work as it does not meet my expectations and requirements. I would like to terminate the agreement and seek another designer, but I am unsure if I have the right to do so and if there are any legal implications or obligations that I should be aware of.
Damien B.
To make the decision less subjective, consider whether the designer has failed to meet the agreed-upon terms, such as missing deadlines or not adhering to the specified requirements. For example, if you provided clear and specific requirements and the designer failed to meet them, this could be considered a material breach of the agreement. On the other hand, if the designer is making a good faith effort to fulfill the terms and the dissatisfaction stems from subjective preferences, it may be more challenging to establish legal grounds for termination—unless the agreement explicitly permits termination based on dissatisfaction.

Loan Agreement
Florida
Can a lender increase the interest rate on a loan after the loan agreement has been signed?
I recently signed a loan agreement with a lender for a personal loan. The agreement clearly states the interest rate that I will be charged for the duration of the loan. However, I have recently received a notification from the lender stating that they are increasing the interest rate due to changes in the market. I am confused and concerned about whether this is legal, as I believe the terms of the loan agreement should be binding. I would like to know if the lender has the right to increase the interest rate after the loan agreement has been signed.
Diane D.
It depends on your policy. Interest rates for personal loans are either fixed or variable. The fixed rate remains constant throughout the loan. However, variable rates may be increased or decreased, based on market changes.
Quick, user friendly and one of the better ways I've come across to get ahold of lawyers willing to take new clients.
