I began my career at "big law" firms, worked in-house for 14 years, and now have my own practice, providing big law quality at small firm rates. My practice focuses on strategic and commercial transactions, including M&A, preferred stock and common stock offerings, asset purchases and sales, joint ventures and strategic partnerships, stock option plans, master services agreements and SOWs, software development and license agreements, SaaS agreements, NDAs, employment and consulting agreements. This area of my practice has focused heavily on YouTubers, podcasters, and individuals creating unique online platforms. In the family law context, I have helped my clients petition for and obtain custody of their children and modify existing custody arrangements.

With 20 years of transactional law experience, I have represented corporate giants like AT&T and T-Mobile, as well as mid-size and small businesses across a wide spectrum of legal needs, including business purchase agreements, entity formation, employment matters, commercial and residential real estate transactions, partnership agreements, online business terms and policy drafting, and business and corporate compliance. I graduated from Yale University magna cum laude, served as a Fulbright Scholar in Italy and attended UC Berkeley School of Law. In 2023, I was named a "Legal Visionary" by the Los Angeles Times. I have broad experience in corporate transactions and in serving as outside general counsel to clients. I started my legal career in Silicon Valley and Hong Kong working on large equity and debt financings and matters for private wealth clients. After returning home to Los Angeles, I advised startup companies with formations, acquisitions and day-to-day matters such as sales contracts and licensing. More recently, I have focused on data, IT and SaaS contracts for both providers and customers. My clients include NASDAQ-listed companies, a top ranked children’s hospital and local startups.

Rosanne (Rosie) Brady Muschenheim is an experienced estate planning attorney practicing law exclusively in trusts, estates, business, and tax law. She studied advanced tax law by taking several courses through Boston University's LLM program. She served as the Western Region Estate Planning Consultant for Bessemer Trust Company in addition to running her own law firm. Rosie spent several years working in Silicon Valley at a prestigious law firm serving ultra high net worth clients, including Founders, Directors, and Officers at companies such as Google, Netflix, Juniper Networks, Tesla, DocuSign, Looker, Nvidia, Xilinx, and Fortinet. Rosie spent time practicing in Honolulu, Hawaii serving ultra high net worth clients, including descendants of Hawaiian royalty. David M. Abner is a practicing attorney with over 30 years of experience representing clients ranging from startups to Fortune 500 companies in California and Texas. Mr. Abner is currently based in Los Angeles, California, and his practice focuses on negotiating the purchase and sale of businesses; negotiating equity and debt financing agreements; drafting and negotiating revisions to a variety of commercial agreements; and investigating and responding to law enforcement and regulatory compliance investigations. Additionally, Mr. Abner has considerable experience dealing with litigation involving ownership and valuation of privately held companies. His efforts produced results that included settling a $700M anti-trust class action lawsuit for less than $7M; assisting in closing the sale of the company’s joint venture interests in an oil and gas subsidiary; assessing and quantifying the liabilities associated with the acquisition of other businesses; and supervising Ashland’s responses to DOJ, FBI and EPA investigations. Mr. Abner has been licensed to practice law in Texas since 1993, and in California since 2012. Mr. Abner obtained his Juris Doctorate from the Dedman School of Law at Southern Methodist University in 1993, and a Bachelor of Arts degree from the University of South Carolina in 1990.
