Max K.
I am a business attorney and former in-house corporate attorney with more than a decade of experience helping companies navigate contracts, commercial relationships, day-to-day operations, and disputes. My practice includes drafting, reviewing, and negotiating commercial agreements, licenses, leases, vendor and service agreements, and other business arrangements. Licensed in Nevada, California, New York, and Texas, I also hold an Executive MBA. My goal is to serve as practical, long-term outside counsel to small businesses and entrepreneurs that value responsiveness, sound judgment, and advice grounded in commercial realities - not merely technical legal answers. I handle disputes when necessary, but much of the value I bring lies in identifying issues early, preserving business relationships, and preventing avoidable conflicts. I do not bill separately for routine phone calls. I want clients to feel comfortable calling before a small concern becomes an expensive problem, and I am always happy to have an initial conversation to see if the fit is right for you. www.linkedin.com/in/maxkelner

Brianna N.
Brianna is a well-respected New York licensed attorney with a Juris Doctorate degree in law from Touro College Jacob D. Fuchsberg Law School and bachelor’s degree in Business Administration and Management from Dowling College. Since becoming an attorney, she has practiced in various areas including business law, corporate law, residential real estate, commercial real estate, criminal law, traffic law, employment law, landlord tenant law, estate planning, and has represented intermediaries in procurement and the personal protective equipment industry. Brianna has broad and extensive business experience; She is an entrepreneur and co-owner of a microtechnology manufacturing company that was built by her and her partner, where she also served as the Chief Legal Officer and Human Resource Manager for the company. While building the manufacturing business, she created a brokerage firm for business transactions and has managed several other businesses which she has ownership interest in. Brianna’s involvement in these various businesses over the past 15 years provides a unique skillset to her clients; Not only does she understand contractual principals and obligations from a legal perspective while drafting and negotiating agreements, but she also has the foresight, experience, and ability to ensure the agreement reflects the practical aspects of the business. Based on the client’s needs and desired outcome, she has the forethought to cover different angles that would be overlooked from a legal standpoint, and as a result she is able to help prevent unforeseen business ramifications. She conducts extensive risk assessments on behalf of her clients and minimizes exposure to potential liability without “over lawyering” agreements. One of Brianna’s main areas of focus is drafting and negotiating agreements. Negotiation is a passion of hers which was applied in law school while she was a member of the Alternative Dispute Resolution Society, notably winning Touro Law School’s intraschool negotiation competition. In her more recent years, Brianna has removed herself from her various business interests to focus on her law practice. Brianna has a strong moral compass and believes in quality over quantity. She treats every client as a top priority; thus, she will not take on many cases at a time because she wants to give each client the focus and attention they deserve. She has sharp attention to detail and is a forceful advocate for every client. Find Promissory Note Agreement Templates by Type
As a lawyer with a background in contract drafting and litigation, I created this template settlement agreement to help you formalize a resolution to a legal dispute. I also have legal services packages set up if you need additional help with the template (i.e., reviewing it after you filled it out, needing help filling it out, etc.).
Overview of the Template Simple Promissory Note
You can use my template simple promissory note to memorialize a loan agreement, or to borrow money (with or without interest). My simple promissory note lays out all the relevant terms, rights and obligations of the loan, from the amount of the loan itself to the agreed-upon repayment plan.
For context, a proper promissory note should include information such as the amount and date of the loan, the names of the parties (i.e., the lender and borrower), the interest rate on the loan and its beginning date. Your promissory note should also describe how the loan will be paid (e.g., in installments of principal and interest, in installments of interest only, in one lump sum on a specific date, due on demand, etc.).
What is Included in the Template Simple Promissory Note?
My template simple promissory note contains key provisions to help formalize the terms of the loan. For example, my template simple promissory note identifies the value to be received by the borrower and the express promise that the borrower will repay the loan to the lender, along with interest at a specified rate.
My template simple promissory note also contains important language about the payment terms, including the need to repay both the principal and accrued interest. This section also details when loan payments are due and the amount to be paid each month. In addition, there are provisions addressing what steps the lender can take in the event the borrower defaults on the loan and which state law governs the promissory note.
All of the provisions in my template settlement agreement are modifiable so it can be used to accommodate any unique aspects of the loan agreement. I’ve also included recommended language that can be used to fill in specific sections, such as the payment terms.
Who Should Use the Template Simple Promissory Note?
My template simple promissory note was drafted in manner to enable use by any party seeking to formalize a loan agreement, whether that be a lender or borrower.
Benefits of Using the Template Simple Promissory Note
My template simple promissory note was designed for simplicity, clarity, and to be user-friendly. These features can help both the borrower and lender reach an agreement on the parameters of a loan in clear, understandable language.
Having a formalized promissory note is helpful since it memorializes the terms and conditions of the loan agreement and can be used as evidence in the event a legal dispute arises between the borrower and lender.
If there is a legal dispute surrounding the terms of the promissory note, you may need to escalate the matter to litigation. If that situation arises, having an experienced attorney by your side can pay dividends. My legal services are available. If hired, I will be there for you every step of the way, offering clear communication, accurate legal guidance, and proactive solutions.
