Project Description

In 2020, a business in Indiana sought assistance with drafting a purchase agreement for the sale of a barber shop. The client needed a clear and precise legal document outlining the terms of the sale, which included an earnest money deposit and a structured payment plan, while ensuring compliance with all necessary legal requirements. Given the fluctuating nature of the purchaser's capital from another business, the terms needed to allow flexibility, especially regarding the repayment schedule and the timeline for transferring ownership. As a result, the client received two proposals from qualified attorneys, with flat fee bids ranging from $825 to $1,000, all delivered within a week to meet the client’s timeline.

What are the key elements to include in a Business Purchase Agreement?

I am in the process of purchasing a small business and I am in need of legal advice regarding the essential components that should be included in a Business Purchase Agreement. The business has been operating for several years and has a stable customer base, but I want to ensure that all aspects of the purchase are properly addressed and legally protected. I would like to understand the necessary clauses, warranties, and conditions that should be included in the agreement to safeguard my interests and mitigate potential risks involved in the transaction.

Please post this as a project attorneys can bid on. It would be hard to give you a generalized answer without knowing the details and trying to piecemeal it can do more harm than good. But I would definitely think about what is being sold/when/ how. How is the payments made? What IP is included, when does ownership transfers, is there financing, are there any licenses required, any documents that need to be executed, any inspections, due diligence etc

Can I include a non-compete clause in a Business Purchase Agreement?

I am in the process of purchasing a small business and I am concerned about the seller potentially opening a competing business nearby and taking away my customers. I want to know if it is legally possible to include a non-compete clause in the Business Purchase Agreement to prevent the seller from engaging in similar business activities within a certain geographic area for a specific period of time after the sale is completed.

Answered Oct 18, 2024

A non-compete clause is potentially enforceable in this situation. 1. It must be part of an otherwise enforceable agreement. 2. It cannot impose a restriction longer than 2 years 3. It must be reasonable in geographic scope Without reviewing the Business Purchase Agreement and your proposed non-compete clause, I cannot comment on the validity of your proposed non-compete. However, if you would like me to review the Agreement and/or provide assistance in negotiating the agreement, please let me know. Lorraine Coats, Esq.
