SaaS agreement and support services?

I am a software developer who is in the process of developing a new software as a service (SaaS) model. I am looking for guidance on the legal implications of the agreement between myself and my potential customers. Why do SAAS companies not provide warranties in their agreements?

Because it's in the name "Software as a service." Warranties are only for products. SAAS is constantly evolving and has a strives to always be working but it would be very hard to guarantee. Plus, product warranties are generally only guaranteed for a certain period of time and SAAS is usually good for the contract duration.

A SaaS agreement is just like every other business contract with just a few notable exceptions. They can be "click-wrap" agreements where your users are not able to negotiate the terms of service. These agreements must be inherently reasonable and fair aligned to traditional notions of fair play. If you intend for a more enterprise service, then your agreements can be a more traditional bargain for exchange so long as they are not deceptive and misleading. The other major difference with SaaS agreements is typically their ability to be unilaterally updated when written properly and applied fairly. You should definitely work with a lawyer experienced with data security and privacy issues to write your agreement and ensure it aligns to your terms and services, privacy policy, and internal business practices.

Can a SaaS provider terminate a customer's access to their software without notice?

I have been using a SaaS platform for my business for the past year, and recently, without any warning or explanation, the provider suddenly terminated my access to their software, causing significant disruption to my operations. I had no prior issues or violations of the SaaS agreement, so I am unsure why they would take such action. I want to know if it is legal for a SaaS provider to terminate a customer's access without any notice or explanation, and if so, what rights and recourse do I have as a customer in this situation?

Hello! My name is Damien Bosco, Esq. My law office is in Long Island City, across from Manhattan. The sudden termination without notice or explanation sounds unusual. Most SaaS agreements require a notice of a violation. Generally, providers typically must inform customers of any breach or issue. Also, most allow for a cure period: customers are often given a period to rectify the problem before termination. If the provider's actions violate the terms of your agreement, you may have grounds for breach of contract. You may want an attorney to review the agreement or terms and conditions to provide some insight and options moving forward.
