If a service agreement is cancelled after 30 day notice does the payment terms agreement become invalid even if it was agreed to be for 15 months

I clean for a living I had contracted clients for office buildings they can't have 30 day notice for nothing but our terms state they will pay for 15 terms on first.of each month but stated would only pay have half this month due to 30 ending mid.month however agreement says payment due on first of 1407. Or service on be suspended until payment but do they owe for the next 3 months regardless

A contract is an agreement between parties on how they are going to conduct business with each other. What is written in the contract is crucial to being able to determine what the agreement of the parties truly is. Contracts are all about the words on the page and what they say exactly. A well-drafted contract will make the responsibilities of both parties very clear. A notice provision in a contract typically will say how much time a party has to give notice to the other party before the contract is terminated. This is different than what a term provision will say. For example, sometimes contracts will have language that says a contract cannot be terminated before the expiration of a certain time period. In that case, if one party terminates the agreement, full payment of the contract is still required to be made even if the service is not rendered. Other times, the term set forth in the agreement (e.g. 15 months) serves as a guarantee of price and other terms in the agreement. For example, "Contractor agrees to perform cleaning services to the Buyer for 15 months, at $XXX per month. At the end of the term, this contract will auto renew and will continue month to month until terminated by either party." Proration is a term that is used to describe when a partial payment can be made. If the contract does not allow for proration and instead gives a monthly payment, then the full monthly payment would be due. Contracts are all about what is written specifically in the contract. If terms are missing there can be interpretation of what the parties actually meant.

Good morning - I am a WA State attorney. The purchase and sale agreement should, itself, specify the governing law that would be applicable; if that term is not already part of the PSA you were presented, it should be added. If you are buying a business in WA, normally the PSA will say that WA law will apply, but if you are buying a franchise, it's possible that the PSA will say something like that law of Delaware may apply. Washington has good governing law for this type of agreement. I also suggest that you discuss any concerns with your buyer's agent, and possibly request a WA State attorney to review all the documents before you sign anything.

Can I edit a signed business contract?

I am starting a business and am in the process of signing a contract with a vendor. I am concerned that some of the details in the contract may need to be changed after it is signed. I am wondering if it is possible to edit a signed business contract or if I would need to create an entirely new contract.

It is almost always possible to amend a signed contract, but, of course, all signatories to the original contract would also need to sign any amendment. If, however, you foresee things you may want to sign later down the road, it'd be best to negotiate changes to the original contract, rather than amending an existing one....for one thing, what if the other signatories don't agree to your proposed amendment(s)?

Penalty for breaking a business contract?

I am a small business owner looking to enter into a contract with a larger company. Some contracts incorporate both reasons for breaching or ending a contract, and some incorporate the amount of a penalty. Most business contracts incorporate what state's laws apply, and whether a dispute will be taken to arbitration or court. If nothing is specified in a contract, parties are most likely to sue for lost income. To truly make an informed decision, I recommend that you consult with a business attorney BEFORE you sign a contract, so that he or she can review the proposed contract and recommend changes BEFORE you sign.

Witnessing a business contract: required?

I am a small business owner who is considering signing a business contract with another party. It is not necessary to have a witness(es) witness the signing of a contract, but it can be helpful if you later wanted to content that you were coerced into signing or agreeing to terms that you protested. However, if you have such concerns, you should not sign any contract. The advantage of having a notary witness a signing is that a WA State notary will check the legal indentification of all signatories to a contract and ensure they are who they say they are; appear to be competent to understand what they're signing; etc.

Is confidentiality required in an asset purchase agreement?

I am considering purchasing a business asset and the seller has presented me with an Asset Purchase Agreement. I understand that these agreements typically contain confidential information, but I am not sure if confidentiality is required in this particular agreement. There is no requirement for confidentiality in ANY type of contract; this is a negotiated term, like all other terms in any contract (except that in some instances, such as WA State Residential Landlord/Tenant contracts, state law may supercede terms in a lease that would violate the law). As far as breach of a confidentiality term (or any other term) in a contract, often the contract itself will state what the consequences may be for a breach - however, if this is not specified, the other party could sue for breach of contract - what a court may decide to award would generally be based on the amount of damages the Plaintiff incurred by having the breach occur. If you are considering buying a business, I urge you to have all paperwork, your business plan, your finances, and all other important documents and information reviewed by a business attorney prior to signing anything at all.
