Terms of service can be a binding contract (if your terms of service are not binding they are basically useless). In most cases, if a user had actual or constructive notice that the use of the service is subject to the terms of service and the user has accepted the terms of service online then those terms of service will become a contract just as if the user has physically signed it. If however, after signing electronically the user is also required to sign a physical copy to become a customer the physical copy will usually prevail. What is the difference between a Terms of Service and a Terms of Use policy?

I need terms and conditions for my website and wanted to see if there was a difference between these documents.

Terms of use and terms of service are both legally binding documents that a user must agree to and abide by in order to use your website or service. The main difference is that what is usually called terms of use is intended for any user accessing (visiting) your website. Terms of service will be directed for those who not only visit the website but also choose to purchase (or try if there is a trial period) the service offered. Both documents are similar but each contains unique terms. Because both are legal documents and can be binding if the terms within them are legitimate it is recommended to have a legal professional draft them and tailor those specific terms relevant for your website and/ or service. Sales tax nexus is the minimum contacts that a seller has with a state that would require it to register to do business within the state and file sales tax returns. Examples of activities that may create sales tax nexus include having a warehouse in the state and physical delivery of goods into the state. You will need a consulting agreement and terms and conditions to start. Depending on your business, you may need more agreements. It depends upon when you vest and whether or not you have a "market" for the shares. You must satisfy a holding requirement for your vested shares under US securities laws that requires that you hold your shares for at least one (1) year. The vesting period is added in - so, for example, if you vested in your options six months after receiving them and then exercised your options and tried to sell your shares, you would be in violation of US securities laws. After a one year holding period you may sell them. You might, however, have restrictions, such as a "Right of First Refusal" (a "ROFR") or other restrictions on selling your shares. Its worth checking all the documents and restrictions.

You need to have the understanding of the parties - who will be doing what work and how much will they receive based on the work they will do.
