Hello, I am a Michigan licensed attorney. The business formation structure you choose will impact your taxes and also protect you from liability depending on the structure. A limited liability company can be set up in multiple ways from a sole proprietor to a multi-member company. And it can be taxed in one of three ways as a pass-through tax, as an S corp, and as a regular Corporation. This all depends on how you choose to set it up. Is it wise to start a single-member LLC to invest in Cryptocurrency and the Pot Stock market

I have/had an LLC that is a marketing company for D2D sales. Obviously, since COVID we are all out of business. I have been investing in crypto since 2016. I lost almost all of my money in the "ONECOIN" cryptocurrency SCAM. Now I am well educated in the market and believe I will make millions in the Crypto and Metaverse market. I am interested in the tax benefits and protection of the money in my family accounts from retirement and IRAs.

Transfer Ownership to another person

Hi, I am EU national from Lithuania and we opened a company with a partner in US. Our initial agreement with that person, was, that he handles US operations and keeps part of the company. However, legally it is registered as LLC in Minnesota under his name. At this stage, turnovers are growing and we would like to transfer ownership (I think selling the company) to me and keep him as a Director in that company. This LLC is operating from 2019. We would like to know, is it possible to do it without physically traveling to US? What tax implications will be? Also will it be possible to buy this company at low cost? Company has a lot of inventory, but at the same time high debt with suppliers. At the moment, equity is about 2k and vendor debts - inventory/customer debts/cash approximately 280k. The transfer of LLC member interests are done via written agreements signed by all parties. They are internal to the company and not recorded anywhere. You don't need to be in the US to accomplish the transfer. Depending on how the transfer is done, there shouldn't be any tax implications.

Good morning - I am a WA State attorney. The purchase and sale agreement should, itself, specify the governing law that would be applicable; if that term is not already part of the PSA you were presented, it should be added. If you are buying a business in WA, normally the PSA will say that WA law will apply, but if you are buying a franchise, it's possible that the PSA will say something like that law of Delaware may apply. Washington has good governing law for this type of agreement. I also suggest that you discuss any concerns with your buyer's agent, and possibly request a WA State attorney to review all the documents before you sign anything.

Can I edit a signed business contract?

I am starting a business and am in the process of signing a contract with a vendor. I am concerned that some of the details in the contract may need to be changed after it is signed. I am wondering if it is possible to edit a signed business contract or if I would need to create an entirely new contract.

It is almost always possible to amend a signed contract, but, of course, all signatories to the original contract would also need to sign any amendment. If, however, you foresee things you may want to sign later down the road, it'd be best to negotiate changes to the original contract, rather than amending an existing one....for one thing, what if the other signatories don't agree to your proposed amendment(s)?

Penalty for breaking a business contract?

I am a small business owner looking to enter into a contract with a larger company. We have negotiated terms and conditions, but I am concerned about the potential penalty if either party breaks the contract. Some contracts incorporate both reasons for breaching or ending a contract, and some incorporate the amount of a penalty. Most business contracts incorporate what state's laws apply, and whether a dispute will be taken to arbitration or court. If nothing is specified in a contract, parties are most likely to sue for lost income. To truly make an informed decision, I recommend that you consult with a business attorney BEFORE you sign a contract, so that he or she can review the proposed contract and recommend changes BEFORE you sign.
