Below are the key sections to focus on, why they matter, and how to make sure the agreement works in your favor. Scope of Services Be clear on what you're actually paying for. "Manage social media" is too vague. Instead, ask for specifics. For example: "Agency will create 12 Instagram posts, 4 video reels, and 1 monthly performance report." If the contract includes paid advertising, split the ad spend from the agency’s fees. Set a limit on how much the agency can spend without getting your approval in writing. This keeps you in control and avoids unexpected charges. Content Ownership and Intellectual Property Everything the agency creates for your brand (images, videos, captions, even the working files) should be yours once it’s paid for. Ask for a "work made for hire" clause and a backup assignment of rights. It's okay if the agency keeps ownership of its own templates or tools, but you should have a forever license to use anything they include in your content. I am a WA State employment attorney. If you didn’t receive anything in return for signing the non-compete, it may be relatively easy to get out of it. If, however, you signed in return for something, such as a severance package, it will be challenging to get out of the agreement. However, many non-compete agreements are written overly broadly and may not be enforceable under the laws of WA and other states. You may want to consult with a WA State employment attorney for a review of the documents and law(s) of the state(s) where you may want to work or set up a business. Hello - I am a Washington State employment law attorney. It can often be difficult to understand a policy in an employee handbook. I would suggest two things: (1) Do not ask about the policy or how to interpret it until you have completed at least two months on the job - wait until your supervisor and coworkers get to know you; most likely, you are not eligible for vacation leave until you have been on the job for several months anyway. (2) After two months, ask your supervisor about the policy - not HR. Your supervisor is most likely the person who will have to approve your leave, and he or she will appreciate that you went to him or her instead of going to HR.
