How to Fill out a Cleaning Services Agreement Template
The cleaning services agreement is customizable. Here are the steps to follow to fill it.
- Step 1: Provide the date and names of parties signing the contract, as well as their locations.
- Step 2: The contractor fills out a short description of their cleaning services. There’s space to include additional services that will be provided.
- Step 3: Fill out how many days it will take for payment to be completed after invoices are sent. Include the amount per month for late charges if invoices aren’t paid on time.
- Step 4: If the contractor is accepting money via mail, their postal address needs to be included.
- Step 5: Fill out the percentage of a fee that the client must pay the contractor if the cleaning session is cancelled and notice hasn’t been given.
- Step 6: Fill out how many consecutive cancelled cleanings (or the total amount of cancelled cleanings) are required for the client to be in breach of the contract.
- Step 7: Write down how many business days of written notice must be given before the contract can be terminated.
- Step 8: If the client doesn’t pay for services or breaches other material provisions in the agreement, they have to pay outstanding balances within a certain amount of days of termination. Specify the number of days.
- Step 9: Enter the name of the state in which parties may initiate mediation or arbitration in the event of a dispute.
- Step 10: Input the relevant state where litigation will occur if parties don’t agree on other dispute-resolution methods.
- Step 11: Write down the name of the state that governs the agreement.
- Step 12: Fill out the effective date of the agreement, as well as personal details of both parties: names, email addresses, home addresses, and phone numbers.
- Step 13: Exhibit A. In this section, there’s space to fill in the services the contractor agrees to provide and a section for certain expenses that can be reimbursed.
- Step 14: Exhibit B. Here, you can fill out weekly, bimonthly, and monthly cleaning schedules. It provides days of the week and start and end times.
Key Clauses Included in the Cleaning Services Agreement Template
ContractsCounsel’s cleaning services agreement template contains essential clauses that protect both parties. They include:
Services
The contractor agrees to provide all the listed services in the agreement. Details about the compensation they will receive for their work are clearly specified.
Supplies
The contractor needs to provide their own equipment and supplies to complete their duties. There could also be agreed-upon supplies the client will be responsible for providing.
Independent Contractor Status
The contractor is not an employee of the company, so they are not eligible for any employment benefits.
Confidentiality
Since the contractor will have access to the client’s property and private information, this clause states that they will not share any sensitive information with others.
Indemnification
Both parties hold each other harmless from claims such as damages and losses, preventing disputes.
Cancellation
An important clause on what happens in the event of cancellation of cleaning sessions is included. It has information such as how parties can provide notice ahead of cancellation.
Termination
Parties can end the contract at any time, as long as they agree on it. However, this could vary if there is a contract breach.
Dispute resolution
Should a disagreement arise, parties need to know how to navigate the dispute process. The agreement mentions mediation and arbitration, while providing guidance should the dispute go to court.

Kenneth E. Gray, Jr. is a business and tax attorney who advises entrepreneurs, investors, and closely held companies on transactions, tax planning, disputes, and long-term wealth structuring. He focuses on helping clients make legally sound decisions that also make business sense. Ken’s practice includes business formation and restructuring, mergers and acquisitions, private investments and fundraising transactions, contract drafting and negotiation, and cross-border matters. He also maintains a significant tax practice, advising on federal and state structuring, specialty filings (including partnership, corporate, and non-resident matters), and representing clients in disputes before the U.S. Tax Court and other federal and state tribunals. In addition to his transactional work, Ken handles commercial and business litigation, including tax controversies, financial disputes, and partnership matters. His litigation experience informs how he structures deals and governance documents, with an eye toward preventing disputes before they arise. Ken also advises individuals and families on estate planning, trust formation, tax-efficient wealth transfer strategies, and probate administration, including planning involving closely held businesses and foreign assets. Before practicing law, Ken worked in banking and private equity, including managing a $5 billion emerging markets fund-of-funds portfolio at the U.S. Overseas Private Investment Corporation (OPIC) and serving in equity research at ABN AMRO. That financial background allows him to understand transactions from both the legal and capital perspective. He holds a J.D. from Georgetown University Law Center and an MBA from Yale University. He practices before the U.S. Tax Court, various state courts, and other federal courts.

Sunnita B.
Experienced sports and entertainment attorney. I specialize in contracts, business formation, licensing, wage disputes, negotiations, and intellectual property.
"Sunnita was very prompt with clear revisions showing what needed to be updated and explaining why. Also, she made sure my documents weren't generalized, but fit Georgia's laws and are specific enough to hold up in court. All of my questions were answered and she stayed in communication with the message feature. I really appreciated that she didn't try to overcharge me for her service. I'll use her for my projects going forward, great experience."
Talin H.
Talin has over a decade of focused experience in business and international law. She is fiercely dedicated to her clients, thorough, detail-oriented, and gets the job done.
Harry N.
Experienced business advisor and in-house counsel with extensive litigation experience, representing parties in a variety of complex commercial disputes, including securities, financial fraud, contract, and antitrust litigation.
"Harry has been sharp, responsive, and straight with me. He reviewed my waivers and then flagged several issues in my other agreements that were bigger than what I hired him for, instead of just doing the narrow job and moving on. He explained the risks clearly, told me what to hold on and why, and structured a fixed-fee scope that worked with my cash flow rather than pushing me into a monthly plan I wasn't ready for. He also brought in outside specialist counsel where it made sense instead of stretching past his own expertise. Easy to recommend."
Justin K.
I have been practicing law exclusively in the areas of business and real estate transactions since joining the profession in 2003. I began my career in the Corporate/Finance department of Sidley's Los Angeles office. I am presently a solo practitioner/freelancer, and service both business- and attorney-clients in those roles.
"Justin was great to work with, we hope to work with him again in future."
