*By purchasing a template, you acknowledge that you have read and understood ContractsCounsel's Terms of Use.

A Software-as-a-Service (SaaS) agreement outlines the terms and conditions providers and customers need to follow. This contract is beneficial in various ways, such as by defining IP ownership rights, services, costs, and expectations.

If you want to draft a SaaS agreement, you can purchase a template from ContractsCounsel, an online legal marketplace that connects lawyers with clients for contract review and drafting.

Read on to find out how purchasing this template works and what a SaaS agreement template contains.

How to Purchase a SaaS Template from ContractsCounsel

It’s easy and simple to buy a SaaS template from ContractsCounsel. Here are the steps to follow:

  1. Go to the SaaS Agreement Template page on ContractsCounsel’s website.
  2. Click ‘Buy template.’
  3. You’ll be directed to a page where you can input your credit card, address, and contact details. You’ll also have to log into the website or create an account.
  4. After your purchase, you can download the contract.

Benefits of Purchasing a SaaS Template

Buying a template is a convenient alternative to drafting a contract from scratch. When you purchase a template from ContractsCounsel, you’ll receive the following benefits:

  • It’s customizable. You can add or edit certain terms and clauses in the contract to suit your requirements.
  • It’s drafted by a vetted lawyer. This keeps the document professional and legally sound. You can also hire the same lawyer to review the document before signing.
  • It’s affordable. You can purchase a SaaS agreement template for just $59.
  • It’s downloadable. After purchasing the document, it gets downloaded to your device immediately.

What’s in a SaaS Agreement Template?

This template is a comprehensive, detailed agreement. Here are some of the clauses you’ll find in it.

Services Subscription Rights

This section of the agreement defines the rights the provider grants to the customer, such as a non-exclusive right to access and use its services.

Documentation License

This specifies how the customer can use the documentation, such as only for business purposes. The customer is prohibited from reproducing, distributing, or modifying the documentation.

Materials and System Control

Responsibilities of both parties need to be explained. For example, the customer controls the operation, management, and maintenance of the customer systems; the provider controls the operation, provision, management and maintenance of the provider materials.

IP Rights

Clarifying IP ownership rights is essential to prevent disputes. This section states that the provider owns all rights, titles, interest in and to the services and provider materials, in order to protect the provider’s content.

Changes

Should there be changes to the services and materials, the provider has the right to make them. However, they need to notify their customers of such changes, such as regarding pricing changes.

Suspension or Termination of Services

This section clearly explains how and when the provider can terminate or deny the customer’s access to the services or provider materials.

Customer Systems and Cooperation

This specifies that the customer’s system used to access the services meets all important requirements.

Customer Failure or Delay

The provider isn’t responsible for failure or delays because of the customer not performing or cooperating with their obligations that are set out in the agreement.

Notice of Prohibited Activity

If the customer is aware of any prohibited activities outlined in the contract, it’s their duty to notify the provider in writing.

Compliance with Law

The customer must agree with the applicable laws related to using the provider system. This section keeps the agreement legally sound.

Fees and Payment

The contract should have clarity about fees and payment. For example, if there are fee increases, these need to be specified.

Confidentiality

Both parties need to respect the clauses regarding confidential information and the types of information that can be disclosed.

Post Termination or Expiration

What happens after the agreement comes to an end? This clause will outline the rights and licenses that will be terminated and state what needs to be handed back to the provider, such as any materials and documentation.

Clear, strategic legal guidance when you need it most—whether you're planning ahead or defending a position. Legal challenges shouldn't feel confusing or overwhelming. Whether you're building an estate plan, structuring a business, or navigating a dispute, my practice is built on clarity, care, and practical strategy. I work with clients who want real solutions—not just paperwork—through planning and advice that truly fits their goals, families, and businesses. Planning & Structure I focus on estate planning, asset protection, and business succession, helping individuals and entrepreneurs organize their assets, reduce risk, and prepare for every stage of life. Whether you're setting up your first living trust, shielding your business from liability, or updating an existing estate plan, you'll receive clear guidance, fixed-fee pricing, and responsive support from start to finish. Each plan I design is tailored to your real-world priorities: preserving wealth, avoiding unnecessary taxes and probate, and ensuring the people you love are protected when it matters most. I also focus on general business matters outlined below. Disputes & Defense When legal conflicts arise—disputed contracts, demand letters, settlement negotiations, or litigation decisions—I provide realistic risk assessment and strategic guidance. I help clients understand their actual exposure (not just best-case scenarios), identify leverage points, and navigate toward efficient resolution. If you're facing a legal claim or need to evaluate your position before responding, I can walk you through the realistic options and their costs. Services: Estate Planning & Asset Protection --Simple wills and powers of attorney --Living trusts for small estates --Buy-sell agreements for family businesses Business Formation & Agreements --LLC or S-Corp formation filings --Operating Agreements / Shareholder Agreements --Founder or Investor Agreements --Bylaws and Minutes templates --Registered agent setup guidance Contracts & Commercial Matters --Service Agreements (consulting, marketing, software, design, etc.) --Independent Contractor Agreements --Employment contracts and offer letters --Non-compete, non-solicitation, or confidentiality agreements --Employee handbooks or HR policy updates --Termination or severance agreements --NDAs (Non-Disclosure Agreements) --Partnership or Joint Venture Agreements --Sales or Vendor Contracts --Licensing or IP Agreements Terms and conditions SaaS Platforms --Terms of Service --Privacy Policy --Independent Contractor Agreements --Customer/User Agreements --Liability Waivers --Cancellation & Refund Policy --Non-Solicitation Clauses --Marketplace compliance documents Real Estate --Commercial lease drafting or review --Residential lease review --Purchase & sale agreements --Short-term rental (Airbnb) contracts --Property management agreements Professional Approach: I leverage modern legal research and writing technologies—including AI-assisted tools—to enhance the quality, speed, and clarity of my analysis. Like many legal professionals today, I use these tools to organize research, improve communication, and catch errors. On research tools: case law and statutory verification runs through a vLex/Fastcase subscription, and drafting and first-pass review is AI-assisted. Every analysis I provide is thoroughly reviewed and reflects my independent professional judgment as a licensed attorney. AI is a tool that supports my work; it does not replace it.

"5 Stars — Excellent Experience Allen did an excellent job reviewing and revising my contract suite for Flow Pilot AI LLC. He was thorough, responsive, and extremely clear throughout the entire engagement. What stood out most was that he went beyond simply redlining the documents. He explained the reasoning behind his recommendations, identified issues I had not initially considered, carefully addressed my follow-up questions, and worked through multiple revision rounds until we had a clean, production-ready contract suite. His review covered liability and indemnification, AI-specific risks, call-recording and communications compliance, data/privacy considerations, third-party technology providers, insurance alignment, and the operational procedures that support the agreements. Communication was excellent, turnaround was fast, and the final deliverables were organized and practical. I would absolutely work with Allen again for future technology, AI, and contract matters. Highly recommended."

ClearPath Compliance

5.0

"Allen was exactly the attorney I needed. I’m a solo Ohio DODD provider building a compliance app largely on my own, and I needed a real review of my Business Associate Agreement, Terms of Service, and Privacy Policy — three documents that carry a lot of weight when you’re handling protected health information. He was thorough, responsive, and, what I appreciated most, genuinely clear. He explained his redlines in plain language so I actually understood what I was agreeing to instead of just nodding along. He worked through all three documents carefully, caught the small details, and even made the final cleanup fix himself rather than bouncing it back for another round. What earned my trust was his honesty about scope. Where something touched Ohio-specific law outside his license, he told me so directly and flagged it as optional due diligence instead of overreaching. He also pointed out things to keep on my radar as the platform grows — IP assignment, trademark, accessibility — with zero pressure. Fair price, delivered on time, and I walked away feeling confident and protected. If you’re a small business owner who needs contracts done right and explained like a human, I can’t recommend Allen enough."

"Dolan was responsive throughout the process and stayed on budget, but the quality of work fell short. An administrative mix-up resulted in our original unedited file being uploaded initially with no redlines or active drafting. While he took responsibility, apologized, and eventually delivered the redlines after we pushed back, the process required too much effort on our end to get a usable draft."
