A promotional sponsorship agreement is a contract between a sponsor and another party where the sponsor provides financial or in-kind (i.e. business services, etc.) support in exchange for promotional benefits. The contract governs the terms of the agreement. These benefits can come in the form of brand exposure, joint advertising efforts, or other promotional activities for the sponsor.
Event Sponsorship Agreement
An event sponsorship agreement is a contract between a sponsor and an event organizer, where the sponsor provides financial support to the event organizer in exchange for brand exposure or advertising. You probably have seen events being sponsored by different brands, and this type of agreement has been made between that event organizer and the brand.
In-Kind Sponsorship Agreement
An in-kind sponsorship agreement is a legal contract between a sponsor and another party where the sponsor provides goods or services in exchange for promotional benefits. What makes an in-kind sponsorship different is that the sponsor is not providing financial support, rather they are providing goods and services in exchange for benefits.
For example, a catering company may sponsor an event by providing food, kitchen staff, and kitchen equipment in exchange for brand exposure.
What Are the Important Terms Included in a Sponsorship Agreement?
Depending on the type of sponsorship agreement, terms can vary. However, below are some common and important terms you will find in a sponsorship agreement template:
- Sponsorship Fee. This section outlines the fee the sponsor will pay to the other party in exchange for promotional efforts.
- Sponsor Obligations. This section outlines the obligations of the sponsor under the agreement. For example, the sponsor may need to provide the beneficiary with marketing collateral.
- Beneficiary Obligations. This section outlines the obligations of the beneficiary under the agreement. For example, this may require the beneficiary showcase marketing collateral of the sponsor.
- License Grants. This section grants a license to use intellectual property of either party in the agreement. For example, anything that may be trademarked by one party is allowed to be used by the other.
- Term and Termination. This section governs the length of the sponsorship and how the agreement can be terminated by either party.
How To Fill Out a Sponsorship Agreement Template
Here is a step by step guide to filling out a sponsorship agreement template.
Step 1: Parties, Date
The first step will be to fill in the date of the agreement being made, and then fill in the legal name of the Sponsor and the legal name of the Beneficiary (company receiving sponsorship).
Step 2: Description of Business, Products, and Services
The next step is to fill out a brief description of the business, product, or service of the beneficiary (party receiving the sponsorship). This essentially describes what the business does, so it is clearly outlined in the agreement.
Step 3: Dispute Resolution, Choice of Law
The next step is to fill out the fees to be paid by the sponsor and any payment schedules or additional payment terms. This is essentially where you make clear what the financial or in-kind support is to be provided by the sponsor.
Step 4: Exhibit A; Sponsorship Fee/In-Kind Sponsorship/Obligations
The next step is to fill out Exhibit A, which will outline things like Sponsorship Fee, In-Kind Sponsorship, and Obligations. This is where you describe the payment or other support being provided by the Sponsor, and the obligations or both the Sponsor and Event Organizer/Beneficiary.
Step 5: Signature Section
For the signature section, you will want to add the full legal names of both parties so you can prepare the document for signature.
