What is a Stockholder Protection Rights Agreement?
A stockholder protection rights agreement is a contract between a company and stockholder that determines the rights of the stockholder. This agreement typically provides that stockholders are permitted to vote on company matters, receive dividends, and sell or transfer their shares. The agreement may also establish how stockholders will be compensated in the event that the company is sold or liquidated.
A stockholder protection rights agreement can help to ensure that stockholders are treated fairly and have a voice in decisions about the company. This type of agreement can also provide some stability for a company by ensuring that stockholders cannot suddenly sell their shares and destabilize the business.

Robert Jay H.
My Legal career has focused on representing businesses (corporations and limited liability companies) as general outside counsel. In this capacity, I have drafted a broad range of legal documents as well as analyzed proposed agreements drafted by the other party's attorney to the agreement for the purpose of determining the risks to which my client would be exposed. I maintained the client's minute book if no one in-house was available for that task. Additionally, if requested, I served as a general advisor to the client's executive offers and to its Board of Directors.
"We - a European medtech startup - highly recommend Robert. Very nice communication style, great knowhow and really going the extra mile to help us with professional legal advice entering the US market."

I got 5 bids within 24h of posting my project. I choose the person who provided the most detailed and relevant intro letter, highlighting their experience relevant to my project. I am very satisfied with the outcome and quality of the two agreements that were produced, they actually far exceed my expectations.
