A user-generated content (UGC) agreement outlines terms for how a creator’s content can be used by a brand. When it’s drafted to be clear and fair to both parties, it encourages healthy working relationships and prevents disputes.

It can be stressful to draft your own UGC agreement, but you don’t have to. On ContractsCounsel, an online legal network that connects clients to lawyers for drafting and reviewing contracts, you can purchase a UGC agreement template.

The template is drafted by skilled, vetted lawyers who you can also hire if you have queries about the template, giving you peace of mind when signing agreements.

Why Should You Purchase a UGC Agreement Template from ContractsCounsel?

ContractsCounsel’s UGC agreement template makes drafting this contract easy and convenient. The template is:

  • Written by professional lawyers. It’s comprehensive, clear, and detailed.
  • Downloadable. After purchasing the agreement template, you simply download it to your device, so you can start using it immediately.
  • Affordable. The contract only costs $24.95.
  • Editable. You can make changes to the agreement so that it’s tailored to your specific relationship and situation.

What Does a UGC Agreement Template Contain?

This agreement template is comprehensive, covering all important aspects of the working relationship between content creators and brands. Some key terms it includes are:

Content Guidelines

The content creator will create materials according to the brand’s guidelines, ensuring that the work is legally compliant.

Compensation

This section outlines the specific amount the brand will pay the creator.

Approvals

To ensure high-quality materials, the brand can request revisions. You can specify how many revisions are allowed. This section also includes a note that the creator has to redeliver content within five business days of the request.

Grant of Rights to the Content

The brand is the sole owner of IP rights. The creator doesn’t have the right to use the content without brand permission. There’s also mention of what happens if the creator appears in the content. In this case, they grant the brand a royalty-free, perpetual, irrevocable, transferable, non-exclusive worldwide right and license to use their name and likeness.

Relationship

The agreement specifies that the creator is an independent contractor and the agreement does not include any joint ventures, employment, or partnerships between creator and brand.

Dispute Resolution

If there is a dispute between the creator and brand, the parties will try to resolve it with an informal discussion. If not successful, they will try mediation, followed by arbitration.

Representations and Warranties

The creator has full right and authority to enter into the agreement and fulfill their duties. They state that their content is original and doesn't infringe on anyone’s rights. They must have gained all licenses and permissions to use third-party materials, if these are included in the content.

The content created needs to be legally compliant and not used for any unauthorized reasons.

How to Fill in the UGC Agreement Template from ContractsCounsel

Below, we guide you on how to fill in your details in the agreement template.

  • Step 1: Fill out the effective date of the agreement and the brand’s and creator’s legal names.
  • Step 2: Fill in a short description of the products or services the brand produces and distributes.
  • Step 3: Describe the content that the creator will make.
  • Step 4: Fill in the delivery date by which content needs to be delivered.
  • Step 5: Fill in the number of revisions that the brand is allowed to request from the creator.
  • Step 6: Write the length of time after termination in which the creator can’t advertise or promote products or services similar to the brand’s.
  • Step 7: Fill in the amount of money the brand will pay for the content.
  • Step 8: Write the state whose laws will govern the agreement.
  • Step 9: Sign the agreement with your legal names, signatures, titles, and addresses.

I love contracts - and especially technology-related contracts written in PLAIN ENGLISH! I've worked extensively with intellectual property contracts, and specifically with IT contracts (SaaS, Master Subscriptions Agreements, Terms of Service, Privacy Policies, License Agreements, etc.), and I have built my own technology solutions that help to quickly and thoroughly draft, review and customize complex contracts.

Draft House Sitting Agreement for Pet Care Sole Proprietorship

4.3

"Drew was good, he listened to what I asked. He’s probably better for the bigger businesses and bigger contracts judging off his prices. I do believe he is pricey for what he produces, mostly because I hired a local lawyer for the same project but different services and they did it for more than half the price of Drew. Same quality work."

"Jeff was incredible to work with! He was very accommodating to my 1-day deadline (providing the deliverables within just several hours), and was even kind enough to discuss all his updates with me and answer my questions in the evening (since that's the only time I was available). He is very knowledgable, reasonable, and kind. I can't recommend him enough!"

First time for me to consult with an attorney. Bryan was very responsive, and helped me to better understand my contract and my legal rights. He gave me sound advice on how to move forward. Took us a while to get to an understanding of what I needed/wanted. Overall I am very satisfied with the work and would recommend Bryan. If I need further advice or work on this contract I will reach out to him first.
