A user-generated content (UGC) agreement outlines terms for how a creator’s content can be used by a brand. When it’s drafted to be clear and fair to both parties, it encourages healthy working relationships and prevents disputes.
It can be stressful to draft your own UGC agreement, but you don’t have to. On ContractsCounsel, an online legal network that connects clients to lawyers for drafting and reviewing contracts, you can purchase a UGC agreement template.
The template is drafted by skilled, vetted lawyers who you can also hire if you have queries about the template, giving you peace of mind when signing agreements.
Why Should You Purchase a UGC Agreement Template from ContractsCounsel?

What Does a UGC Agreement Template Contain?
This agreement template is comprehensive, covering all important aspects of the working relationship between content creators and brands. Some key terms it includes are:
Content Guidelines
The content creator will create materials according to the brand’s guidelines, ensuring that the work is legally compliant.
Compensation
This section outlines the specific amount the brand will pay the creator.
Approvals
To ensure high-quality materials, the brand can request revisions. You can specify how many revisions are allowed. This section also includes a note that the creator has to redeliver content within five business days of the request.
Grant of Rights to the Content
The brand is the sole owner of IP rights. The creator doesn’t have the right to use the content without brand permission. There’s also mention of what happens if the creator appears in the content. In this case, they grant the brand a royalty-free, perpetual, irrevocable, transferable, non-exclusive worldwide right and license to use their name and likeness.
Relationship
The agreement specifies that the creator is an independent contractor and the agreement does not include any joint ventures, employment, or partnerships between creator and brand.
Dispute Resolution
If there is a dispute between the creator and brand, the parties will try to resolve it with an informal discussion. If not successful, they will try mediation, followed by arbitration.
Representations and Warranties
The creator has full right and authority to enter into the agreement and fulfill their duties. They state that their content is original and doesn't infringe on anyone’s rights. They must have gained all licenses and permissions to use third-party materials, if these are included in the content.
The content created needs to be legally compliant and not used for any unauthorized reasons.
