Can a landlord increase the rent on a commercial building lease without providing notice or justification?

I have been leasing a commercial building for my business for the past three years, and recently, my landlord informed me of a significant increase in the monthly rent. However, there was no prior notice or explanation given for this sudden increase, and I am concerned about the legality of such action. I want to know if the landlord has the right to raise the rent without providing any notice or justification, and what options I have to address this issue if it is indeed unfair or unlawful.

In a vacuum, a landlord should not have a unilateral right to raise rent. A landlord may have the right to raise rents periodically, pursuant to the lease document. It is very much a contract issue. It depends on the exact wording of the lease agreement. The lease agreement will also detail the requirements for valid notification concerning the agreement. My experience over 25 years of practice is that most building lease agreements expressly provide for base rent to increase each year. A court will enforce most reasonable rental, escalation, clauses, and lease agreements. If there is no obvious language in the lease, the question becomes whether rental increase is implied under the wording of the document or an amendment to it. At the risk of being repetitive, it depends on what the lease says, if anything at all.

I recently made an offer to purchase a commercial property and the seller has asked me to sign a purchase agreement. I am unfamiliar with the terms of the agreement and want to make sure that it is kept confidential. I hope that you used the assistance of a WA State commercial real estate attorney to advise you in the writing and presentation of your offer to purchase a commercial property, as these can be extremely complicated. (Or, at the very least, I hope you were represented by an experienced and knowledgeable buyer's agent). To my knowledge, this type of PSA agreement is not required to be confidential unless you included that language in your offer. Please be aware that once the sale closes, the amount of the purchase price will be public information, in county records.

In North Carolina, commercial rent is commonly calculated as a set dollar amount per square foot. This dollar amount is usually based on factors like location, age, condition, accessibility, and amenities. However, there is no requirement for rent to be determined this way. Unlike a residential lease agreement, the terms of a commercial lease agreement can be almost anything that the parties mutually agree to. As a word of caution, in North Carolina, commercial tenants do not have the same degree of legal protections as residential tenants. For just one example, a tenant who wishes to terminate a commercial lease early may be responsible for the entire remainder of the rent unless the lease agreement says otherwise.

Permitted use means that you can only use it for the reason you rented it. For example, you cannot rent a place to use as a gym but then use it for a nightclub.

In Massachusetts, a commercial tenant can assign or sublet the unit to a third party - UNLESS there is a specific prohibition in the current lease. However, even if there is such a prohibition, it might still be worth speaking to the landlord about since it might be mutually beneficial.
