Contract versus PO?

I'm working with a client who refuses to sign our contract document while mentioning that the PO would suffice for that purpose. I already signed the contract and sent it back to the client that I'm working with, but they didn't sign it so far and refuse to sign it. But according to them, they will send PO. Is the PO legally binding to them to make the payment? Would the PO really suffice against the contract that I signed?

Annoying as this answer it, it really does depend. Some purchase orders (especially in the government contracting world) automatically become contracts once they are accepted and signed. If this is the other sides normal mode of operating it is not unheard of for them to be reluctant to accept a different contract in case it creates different or conflicting terms. At the end of the day there is nothing inherent in a PO that would mean it cannot serve as a binding contractual document, it just depends on the language in the PO.

cost to sue tenant for back rent in a commercial property

Commercial tenant stopped making lease & CAM payments for months. The lease has 5+ years remaining on lease. The tenant is personally liable for the lease (no corporation / LLC). We wish to pursue suit, obtain a judgement and then collect the judgement.

Hello! My name is Dolan and I'm happy to answer questions for you. If a tenant has received proper notice to cure a defect in the rental agreement, or is a holdover tenant, the law requires a CA landlord to go to court for the eviction (called an unlawful detainer). The main steps in an eviction are: The landlord must give notice (e.g., a 3-day notice to pay rent, or a 30-day notice to vacate); If the defect is not “cured,” then the landlord must begin eviction proceedings by filling out form CM-010, form UD-100, form UD-101, and SUM 130 (the summons); After filing (and serving) the document, the court will wait at least 5 days to schedule a hearing. If the tenant files a court form to give their side of the story, the landlord can ask for a trial date. If the tenant does not, the landlord can ask for a default judgment; If there is a trial, a judge will hear both sides. After the judge decides, the judge issues an order the landlord can take to the sheriff to help effectuate the eviction. I am a small business owner and I am considering offering an Employee Separation Agreement to an employee who is leaving the company. I want to understand the pros and cons of this type of agreement so that I can make the best decision for my business.

There are several reasons for using an employee separation agreement - it can be used to protect confidential information and IP, obtain general liability waiver for certain legal claims (e.g., wrongful termination), offer an employee certain benefits and severance pay, and include additional provisions (e.g., non-disparagement clause so the employee cannot spread negative information about the company, return of company equipment, etc.). Just as an employer is not legally required to offer a severance agreement, an employee is not required by law to sign a severance agreement. However, an employee may be more likely to sign a reasonable, balanced severance agreement. Can a severance agreement be digital?

I recently accepted a voluntary severance package from my employer and have been asked to sign a severance agreement. I am curious if this agreement can be signed digitally, as I am not currently in the same city as my employer. I am looking for advice on the legalities of digital agreements and any potential risks associated with signing a severance agreement digitally.

In 1999 the California Legislature enacted the Uniform Electronic Transactions Act (the “UETA”), Civ. Code, §§ 1633.1 et seq., which provides that when a law requires a record to be in writing or requires a signature, an electronic record or signature satisfies the law. The law requires that any contract entered into between two parties may not be denied legal enforceability simply because of the use of an electronic signature. This has also be upheld in the employment law setting in some case law.

Can we renegotiate a settlement agreement?

I recently entered into a settlement agreement with the other party in a dispute, but now I believe that the terms of the agreement are no longer fair and equitable. As such, I am looking to renegotiate the agreement. I have attempted to discuss this with the other party, but they have not been receptive to the idea. I am now seeking legal advice to determine if there is any way to renegotiate the agreement and what the best course of action would be.

If you enter into a binding contract you have to honour the terms unless there was fraud, mistake or misrepresentation as a basis to set aside or renegotiate.
