I am a business, Internet, and intellectual property lawyer. My practice is split between both transactional work and litigation. Prior to law school, I earned a master’s degree in computer science, which gives me the background and experience to understand technology, software, and the Internet better than most attorneys, and so my practice focuses on these areas. However, I represent clients in almost any industry, including real estate, construction, medicine, service, and consumer products.

Dennis Sponer co-founded ScripNet, a uniquely designed Pharmacy Benefit Management (PBM) company in 1997. After serving as In-House Counsel for one of Las Vegas’ largest healthcare conglomerates, Dennis devised a payor based technological solution to the challenge of pharmaceutical payment and remittance. As one of the first workers’ compensation specific Pharmacy Benefit Managers in the industry, Dennis pushed the boundaries of what a PBM can do. ScripNet was a three-time winner of the Inc. 500 and was named to the Inc. 5000 numerous times thereafter. Clients of ScripNet included some of the largest carriers, governmental entities, and self-insured employers in the nation, including FedEx, Starbucks, Lockheed Martin, the Cities of Dallas, Atlanta and Philadelphia as well as the State of Texas and the State of Nevada. After fifteen years of exceptional growth and class leading industry recognition, ScripNet was acquired in 2012 by Optum Healthcare Solutions. After selling ScripNet, Dennis served as Executive Vice President for the acquiring company and was successful in integrating ScripNet into the larger entity. His latest venture, HSARx, was a consumer facing Pharmacy Benefit Manager focused on the owners of health savings accounts. He sold HSARx to SwiftScript in October of 2023. Dennis obtained his Juris Doctorate from Brigham Young University where he served as Note and Comment Editor of the Law Review. He then obtained his Master of Laws in Taxation (L.L.M.) from the University of San Diego. After selling ScripNet, Dennis returned to school to earn his TRIUM MBA, the program jointly administered by New York University's Stern School of Business, the London School of Economics and HEC Paris. Dennis is a member of the 1999 Leadership Las Vegas graduating class, was named by InBusiness Las Vegas to its annual Top 40 Under 40 list, is a graduate of MIT's prestigious Birthing of Giants program and holds a certificate in full stack development from MIT. Dennis is licensed as an attorney in California and Nevada and is a past President of the Las Vegas Chapter of the Entrepreneurs' Organization. Can a startup agreement be modified after it has been signed?
I recently started a tech company with a partner and we signed a startup agreement that outlined each of our roles, ownership percentages, and profit distribution. However, as our business has grown and evolved, we have realized that some aspects of the agreement need to be modified to better reflect our current needs and goals. We are wondering if it is possible to make changes to the startup agreement after it has already been signed, and if so, what would be the process and potential implications of doing so?
Dawn K.
Congratulations on your business growth and evolution! I'll answer the question without having seen the actual agreement, so this is just based on broad contract principles. Yes, you can change an agreement after it is signed, and there are a few ways to do so. If it is just a few terms, you may be able to do a written "modification" that becomes the new terms of the agreement and the rest stays. There is also, again depending on how much you want changed, a process of "novation" where we substitute a new contract for the previous one. It has specific language in it, but it is also available. These are the two primary ways to change the agreement where there are no disputes and all parties agree to the changed or new terms. Congratulations again!

When do you recommend I draft a custom Privacy Policy for my site?
I downloaded a free privacy policy and we are starting to get more users on our site. I am not sure when I would need to draft something custom.
Ema T.
The Privacy Policy should be located on your website from the moment your website is "up in the air" therefore it is recommended to contact a lawyer to draft it at least 2 weeks prior to the launching of the website. The privacy policy provides information to visitors of the website on the operators of the website collect, use, store and protect the personal data of the visitors. Personal data can be information provided by the users (personal and financial is most common) or information collected automatically such as IP. Each privacy policy should be tailored to the specific website or app. Any information provided as an answer to these questions does not constitute legal advice and does not create an attorney-client relationship between the attorney and anyone in relation to any information provided under the Q & A section of this website. it is being used because the exact content of the privacy policy is dependent upon the function of the site that it relates to, the information it gathered, and how it is being used. An important note about PP is that certain countries and states have specific rules regarding the use of their residence data and those should be addressed in your PP if you are planning to operate in these areas.

Is a SaaS agreement a license?
I have a SaaS business and am wondering if this can be used as a software license as well. We have a terms of service and privacy policy for our website, but we don't have a standalone SaaS agreement we use with customers. I think we need some sort of software license for enterprise customers, but I'm not sure. Is a SaaS agreement the same as a software license? Can a company like me just operate under Terms of Service?
Octavia P.
This is a great question as many business SaaS providers are confused about SaaS agreements and if they are the same as a software license. There is indeed a difference between a SaaS agreement and a software license. The main difference is that a software license provides a customer the right to tangible products or services that are delivered in some format. In contrast a SaaS does not deliver products or services since the software and platform remain with the provider. As a result, a SaaS promises the customer access and use of the provider’s cloud services remotely via the internet or private network. When SaaS is being provided to enterprises or B2B clients, for their internal business purposes, providers will often use a master SaaS agreement that can be negotiated and signed. Is agreeing to a ToS the same as signing a contract?
I would like to learn if opt ins to website agreements are the same as signing a contract.
Ema T.
Terms of service can be a binding contract (if your terms of service are not binding they are basically useless). In most cases, if a user had actual or constructive notice that the use of the service is subject to the terms of service and the user has accepted the terms of service online then those terms of service will become a contract just as if the user has physically signed it. If however, after signing electronically the user is also required to sign a physical copy to become a customer the physical copy will usually prevail. Does my Privacy Policy need to address the GDPR?
Same as the CCPA. Should I worry about GDPR given we're a US business?
Ema T.
If you are planning to operate in Europe you will need to address the GDPR. The GDPR is a EU regulation that addresses data protection and privacy of EU residents. It provides specific rights for users located in the EU. These rights should be addressed in your privacy policy and contain additional sections and information laid out for EU residents. Any information provided as an answer to these questions does not constitute legal advice and does not create an attorney-client relationship between the attorney and anyone in relation to any information provided under the Q & A section of this website.
Quick, user friendly and one of the better ways I've come across to get ahold of lawyers willing to take new clients.
