Nondisclosure Agreement
California
Are non disclosure agreements enforceable?
I keep getting asked to sign NDAs and I'm not sure how enforceable they are?
Christopher M.
So non-disclosure agreements will typically be enforceable for a reasonable time depending on the content of the information contained in the NDA. It will really depend on the specifics of the NDA and the information released to you. Most NDAs do allow you to discuss the matters with counsel so if you are concerned about any specific agreement it would probably be best to have them reviewed by an attorney.

LLC Operating Agreement

LLC and capital structure?
I am the founder and owner of a small business that is in the process of transitioning to an LLC. I am interested in understanding the capital structure of an LLC and how it differs from that of a sole proprietorship. I am looking for advice on how to ensure that my business is properly capitalized and structured in order to maximize its potential for success.
Russell M.
Well, putting aside the very important detail that an LLC offers limitation of liability and a sole proprietorship does not, the difference between a sole proprietorship and an LLC is that you can allocate the profits to others through membership interests. This means you can bring on one or more investors and allocate the capital appreciation, profit and cash flow to the investors with the same or different terms from your interest, and that you can share profits with employees through a "profits interest". There is a great deal of flexibility that you can use through a properly drafted operating agreement.

What happens to convertible note if startup fails?
I have a startup and am looking to raise money from investors. If we fail, are we going to be liable for anything if we raise money on a convertible note?
Michael M.
Typically, if the business fails, the note can then not be converted or repaid. Unless you have personally guaranteed the obligation which would be unusual, the recourse would be against the entity itself.

I am an independent contractor and freelancer in San Diego, California. I am a sole proprietor who offers training and consulting services. I use a contract agreement with my clients. Even after signing my contract, this client is unwilling to compensate me for the hours I spent working on his project. I would like to send this client a collections notice for non-payment. I would appreciate knowing the process. Thanks in advance
Matthew S.
Yes, you can send such a notice for nonpayment. I would send one in the form of a demand letter.

Purchase And Sale Agreement
California
Confidentiality in a purchase and sale agreement?
I am a small business owner looking to purchase another business and I am currently negotiating a Purchase and Sale Agreement. I am concerned about the confidentiality of the agreement and would like to ensure that all parties involved are abiding by the terms of the agreement. I am also concerned about any potential liabilities that may arise from the agreement and would like to ensure that I am adequately protected.
Rosemary L.
Confidentiality and nondisclosure agreements are common in the purchase and sale of businesses. They are meant to allow a buyer and seller to negotiate and reach terms on an agreement without information leaking which would impact the business, such as financial information, impact on employees, future plans and trade secrets. It is common practice for these agreements to be signed. If the agreement is breached, the party who has been injured by the breach can sue the other party for damages or other appropriate remedies.

Quick, user friendly and one of the better ways I've come across to get ahold of lawyers willing to take new clients.
View Trustpilot ReviewContracts Counsel was incredibly helpful and easy to use. I submitted a project for a lawyer's help within a day I had received over 6 proposals from qualified lawyers. I submitted a bid that works best for my business and we went forward with the project.
View Trustpilot ReviewI never knew how difficult it was to obtain representation or a lawyer, and ContractsCounsel was EXACTLY the type of service I was hoping for when I was in a pinch. Working with their service was efficient, effective and made me feel in control. Thank you so much and should I ever need attorney services down the road, I'll certainly be a repeat customer.
View Trustpilot ReviewI got 5 bids within 24h of posting my project. I choose the person who provided the most detailed and relevant intro letter, highlighting their experience relevant to my project. I am very satisfied with the outcome and quality of the two agreements that were produced, they actually far exceed my expectations.
