Pros & cons of employee separation agreements?
I am a small business owner and I am considering offering an Employee Separation Agreement to an employee who is leaving the company. I want to understand the pros and cons of this type of agreement so that I can make the best decision for my business.

There are several reasons for using an employee separation agreement - it can be used to protect confidential information and IP, obtain general liability waiver for certain legal claims (e.g., wrongful termination), offer an employee certain benefits and severance pay, and include additional provisions (e.g., non-disparagement clause so the employee cannot spread negative information about the company, return of company equipment, etc.). Just as an employer is not legally required to offer a severance agreement, an employee is not required by law to sign a severance agreement. However, an employee may be more likely to sign a reasonable, balanced severance agreement. Can we renegotiate a settlement agreement?
I recently entered into a settlement agreement with the other party in a dispute, but now I believe that the terms of the agreement are no longer fair and equitable. As such, I am looking to renegotiate the agreement. I have attempted to discuss this with the other party, but they have not been receptive to the idea. I am now seeking legal advice to determine if there is any way to renegotiate the agreement and what the best course of action would be.

Can a repayment agreement be enforced if it was made verbally and not in writing?
I recently loaned a significant amount of money to a friend in need, and we agreed on a repayment plan where they would pay me back in monthly installments. However, we did not put this agreement in writing, and it was purely a verbal agreement. Now, my friend is refusing to make the payments, and I'm wondering if I have any legal recourse to enforce the repayment agreement even though it was not formalized in writing.

I'm so sorry about your situation! My name is Dolan. The answer is yes. Under California law, a breach of contract occurs when one party fails to fulfill a legal duty the contract created and causes damages for the plaintiff. (California Civil Jury Instructions Number 303.) The measure of damages is the amount that will compensate the aggrieved party for all the detriment caused thereby or likely to result therefrom. (Cal. Civ. Code § 3300.) Parties can also seek '"specific performance" of the agreement under section 3388 of the civil code. This applies regardless of whether the agreement was written or done orally. Typically, the aggrieved party is entitled to be returned to the same position they were in before the breach. Commercial tenant stopped making lease & CAM payments for months. The lease has 5+ years remaining on lease. The tenant is personally liable for the lease (no corporation / LLC). We wish to pursue suit, obtain a judgement and then collect the judgement.

Hello! My name is Dolan and I'm happy to answer questions for you. If a tenant has received proper notice to cure a defect in the rental agreement, or is a holdover tenant, the law requires a CA landlord to go to court for the eviction (called an unlawful detainer). The main steps in an eviction are: The landlord must give notice (e.g., a 3-day notice to pay rent, or a 30-day notice to vacate); If the defect is not “cured,” then the landlord must begin eviction proceedings by filling out form CM-010, form UD-100, form UD-101, and SUM 130 (the summons); After filing (and serving) the document, the court will wait at least 5 days to schedule a hearing. If the tenant files a court form to give their side of the story, the landlord can ask for a trial date. If the tenant does not, the landlord can ask for a default judgment; If there is a trial, a judge will hear both sides. After the judge decides, the judge issues an order the landlord can take to the sheriff to help effectuate the eviction. I am starting a new business and need to enter into a contract with a supplier. I have been provided with a contract to review, but I am unsure of the associated costs. I am looking for legal advice on the cost of reviewing the contract and whether there are any potential pitfalls or areas of risk that I should be aware of before signing.

The cost will depend on several factors: - Length of the document - Quality of the contract (if it's poorly drafted then it will require more work to revise) - Complexity of the transaction (the more complex, the more time is needed to understand it and solve problems) - Your leverage vs. the supplier's (if you don't much leverage, then the contract will require a lighter touch as far as revisions) The best course of action is to do an initial consultation with your lawyer of choice to discuss the above. After that, the lawyer will be able to give you a sense of the cost, and make a proposal on either an hourly rate or a flat fee.
