How does an LLC work?
I am in the process of starting a business and have been advised to form an LLC. I am not familiar with the structure of an LLC, and am interested in learning more about how it works and the benefits it provides. I would like to understand the legal implications of forming an LLC and how it can help protect my personal assets.

Tax: An LLC is a "pass-through" entity, so it does not pay income taxes. Instead, its owners pay income taxes on their share of the LLCs profits. So it avoids the double taxation of corporations (the corporate pays income taxes and then the stockholders pay income taxes on their dividends). 2. An LLC is controlled by its "Operating Agreement" (similar to corporate bylaws). An LLC can be set up as a limited partnership (passive investors, and the Managers have 100% control - e.g. real estate), a corporation (the investors get to vote once a year for a "Board of Managers" - a business with significant investment), or a partnership (no board, the owners all vote on every issue - a professional services firm). The choice depends on the nature of the business.

Hello! My company provide me a fixed amount ($10,000) of equity within 4 years, with 25% vested after 12 months and said "The options will have a “strike price” which is based on the market value of the Company at the time your options are issued to you." What does it mean? Will i need to pay the different price every year?

Would really need to see the documents to properly answer this question. Is the value of the equity fixed at $10,000? Typically you get a number of shares that vest (become available to you) over x amount of time. The strike price is the amount you will pay to the company to exercise the option. Can I negotiate the terms of a severance agreement with my employer?
I have recently been informed by my employer that my position is being eliminated due to company restructuring, and they have offered me a severance agreement. However, I have concerns about some of the terms in the agreement, such as the non-compete clause and the amount of severance pay being offered. I would like to know if it is possible for me to negotiate these terms with my employer before signing the agreement.

Severance Agreements are often presented to employees as a "take it or leave it proposition": however, it has been my experience that many of the underlying provisions of these severance agreements are, in fact, negotiable. Also, as an employee, you are not without rights...a fact that is often, though reluctantly, recognized by employers. the agreements prepared on behalf of employers are often heavy handed and should not be entered into by the employee without advice of coounsel./

Can you explain what a Certificate of Good Standing is and why it is important for a business?
I recently started a small business and I have heard about this document called a Certificate of Good Standing. I am not entirely sure what it is and why it is important, so I would like some clarification. From my understanding, it is a document issued by the state where my business is registered, but I am unsure of its purpose and how it affects my business. I want to make sure I am in compliance with all necessary requirements and understand the implications of obtaining or not obtaining this certificate.

A certificate of good standing shows that your business has complied with all of the applicable laws and regulations for the state in which the business operates (e.g., all required reports have been filed like the annual report; the business has paid all taxes and fees; the business has met any necessary licensing and regulatory requirements, etc.). and that the business is legally authorized to operate in a state. It is important to have so that the business can show potential partners, investors, or lenders that your business has taken the necessary steps to ensure its legal status in the state.

What should be included in an asset purchase agreement?
I am considering buying a chain of laundry mats and have been told I would need an asset purchase agreement for the legal paperwork involved. I don't believe I want to buy the business, but am not sure. I think I would just want to buy their machines and take over their leases. If this was the case, what would I need to have in an agreement?

As the buyer, your preference is always to by the assets rather than the existing business entity. That way, you will have greater protection against liabilities of the business that arose before your purchase. You can also structure the deal so that you're buying only those assets you're interested in, and can carve out those assets you don't want to buy. You do want an attorney assisting you, as there are pitfalls in the process, and you want to be protected. Thanks.
