Dental Associate Contract

Dental associate contract malpractice insurance?
I recently signed a dental associate contract with a practice in my local area. I am concerned about the malpractice insurance that is included in the contract, as I am not sure if the coverage is adequate. I am also unsure of the type of insurance that is provided and what it covers. I would like to know what the risks are in regards to my malpractice insurance and how I can ensure that I am properly protected.
Merry A.
I am a WA State attorney. For starters, obtain a copy of your policy, print it, and read it carefully, using a yellow highlighter to highlight your questions/concerns, while making notes on a notepad. Check with independent malpractice insurers in WA to determine typical amounts of coverage in your field and county. Consider buying more on your own and/or an umbrella policy. Check with instructors, mentors, and colleagues in your field to seek guidance on adequate coverage.

What's intellectual property in an employment contract?
I recently accepted a job offer that contained an employment contract. The contract states that I will not use any intellectual property of the company without prior written consent. I am unsure what exactly constitutes as intellectual property and would like to get a better understanding of the definition of intellectual property in the context of an employment contract.
Russell M.
Your Agreement may contain a definition like this: “Intellectual Property” means recognized protectable rights and interests such as: patents (whether or not issued), copyrights, trademarks, service marks, applications for any of the foregoing, inventions, Confidential Information, trade secrets, trade dress, domain names, logos, insignia, color combinations, slogans, moral rights, right of publicity, author’s rights, contract and licensing rights, works, mask works, industrial design rights, rights of priority, know how, design flows, methodologies, devices business processes, developments, innovations. But a few of these are going to be most likely available to you. Internal company know-how or “ how we do things here that help us succeed”. Note the words “Confidential Information”. Confidential Information is another defined term which includes customer and employee information, pricing and business strategy and plans, among others.

Could someone go to jail if they are accused of fraud for never intending to not breaching his or her non compete non solicit contract?
I am really curious when employment contract can become criminal. Is it criminal to ask you coworker to come work with you, considering if you are accused of fraud for breaching non compete non solicit?
Matthew S.
No, this at worst is a civil matter and not a criminal matter. F

S corp and employee benefits?
I am the owner of a small business that recently decided to incorporate as an S Corp. I am trying to understand the implications of this decision in terms of employee benefits, as I want to ensure that my employees are being provided with the best possible benefits. I am looking for advice on the best way to structure these benefits within the S Corp framework.
Thomas L.
Employees of Sub-S corporations are employees under the IRC. So the question of employee benefits is not specific to Sub-S corporations. You should consider a PEO.

Severance Agreement

Updating a severance agreement?
I recently received a severance agreement from my employer and I am unsure if the terms are appropriate for my situation. I was laid off due to restructuring and I am looking to make sure that I am receiving the best possible terms from the agreement. I'm not sure if the agreement should be updated or if it is fair as it is currently written.
Erdal T.
I would have to see the severance to see if the terms are fair.
