Content Creator Agreement
California
Can a content creator agreement be terminated by the platform without prior notice or warning?
I am a content creator who has been using a popular online platform to showcase and monetize my work for the past year. Recently, without any prior notice or warning, the platform terminated my content creator agreement, effectively shutting down my account and removing all my content from the platform. This has caused significant financial loss and distress, as I heavily relied on the platform for income. I would like to know if the platform had the right to terminate my agreement without any notice or warning, and if there are any legal remedies available to me in this situation.
Jonathan W.
Depends on what the content creator agreement with the platform says about termination. It likely has the platform covered. If they didn't follow the terms of the agreement, you might have a claim. The claim may be limited in damages as most of these contracts, if well written, have limitations on damages under the contract.

Waiver And Release
Washington
Can a Release and Waiver Agreement protect me from liability if someone gets injured while participating in an activity I organized?
I recently organized a charity event where participants engage in physically demanding activities such as obstacle courses and sports. I want to ensure that I am not held liable for any injuries that may occur during the event, so I am considering having participants sign a Release and Waiver Agreement. However, I am unsure if this agreement would actually protect me from potential legal claims and if there are any specific requirements or limitations I should be aware of when drafting the agreement.
Merry K.
First, if a participant is under 18, their parent or legal guardian must sign for them. Second, all these types of releases/waivers do is slow people down or discourage them from suing, but a good attorney can get around most of these (especially ones you buy off the internet). You should, at a minimum, make a good effort to ensure that all activities are as safe as possible, and also make sure you, your Board members, staff, and the organization are covered by solid insurance. I'm not trying to discourage you - I just want you to be very careful.

Independent Contractor Agreement
Illinois
How to ensure fairness in a contractor agreement?
I am an independent contractor that is about to enter into an agreement with a company. I am looking to ensure that the agreement is fair and beneficial for both parties. I want to make sure that my rights and responsibilities are clearly outlined in the agreement and that I am not being taken advantage of. I am looking for advice on how to ensure that the agreement is fair and equitable.
Jeff A.
You're correct that your agreement should be fair and beneficial to both parties involved. Often, however, when an independent contractor receives an agreement from a company, that proposed agreement has been drafted to be favorable to the company, because that's the company's primary interest. In order to ensure the agreement is fair and equitable, you'd need to identify the business and legal provisions that are drafted in a way that protects the company but not you, and either strike those provisions entirely (if the terms are unreasonable), or suggest they be written in a mutual form. Some common examples of these provisions are warranty disclaimers, indemnity, limitation of liability, and exclusivity.

Breach of contracts

You may want to start with having an attorney contact the breaching party to cure the default or pay you for the breach. If this cannot be resolved via negotiations, then litigation may be necessary. Please resubmit as a project on this platform so attorneys can bid on it.

Employee Separation Agreement
California
Pros & cons of employee separation agreements?
I am a small business owner and I am considering offering an Employee Separation Agreement to an employee who is leaving the company. I want to understand the pros and cons of this type of agreement so that I can make the best decision for my business.
Gagandeep K.
There are several reasons for using an employee separation agreement - it can be used to protect confidential information and IP, obtain general liability waiver for certain legal claims (e.g., wrongful termination), offer an employee certain benefits and severance pay, and include additional provisions (e.g., non-disparagement clause so the employee cannot spread negative information about the company, return of company equipment, etc.). Just as an employer is not legally required to offer a severance agreement, an employee is not required by law to sign a severance agreement. However, an employee may be more likely to sign a reasonable, balanced severance agreement. You can read more about severance agreements here: https://www.contractscounsel.com/t/g/us/severance-agreement/11#toc--circumstances-for-offering-severance-
Quick, user friendly and one of the better ways I've come across to get ahold of lawyers willing to take new clients.
