I want to create an operating agreement that explains what happens with the business in case one of the members died. We have an LLC. We want to create an operating agreement that states how the business will keep working in case one of our members dies.

As such, you will need to include clauses in which you specifically name beneficiaries for those membership interests upon death of the interests holders. You may additionally need to include procedures for transfer (for example through membership certificates).

I am a small business owner in the process of applying for a business loan and I have come across the term 'Certificate of Good Standing.' I am not sure what this certificate is, why it is necessary, and how I can obtain one for my business. Could you please explain what a Certificate of Good Standing is and its significance in the context of business operations and loan applications?

A certificate of good standing is simply a due diligence item the lender will require showing your business entity is in "good standing" with the state in which the business was formed. "Good standing" means the business is operational and has paid its taxes (franchise taxes, etc) and is up to date on all annual fees, etc. To get the certificate, you can log on to your state of formation's secretary of state website (usually under the section entitled "business services") and you can purchase a certificate of good standing for a minimal fee.

Do we need to notarize an APA? I have tried to do research online and cannot find anything. I am trying to budget for a new acquisition and want to make sure I have all of my ducks in a row. Are there any other documents I will need?

First, I highly recommend you get legal representation in connection with your purchase agreement. Second, I'm not a Texas lawyer, but generally an asset purchase agreement will not need to be notarized.

Hello! Congrats on your decision to start a business. First, begin by selecting a unique name for your corporation and ensure it complies with CA's naming requirements. You can do a name search here - https://bizfileonline.sos.ca.gov/search/business Next, you'll need to prepare and file articles of incorporation with your state's Secretary of State office. These articles typically include details like the corporation's name, purpose, registered agent, and the number of authorized shares of stock. You can do this on the BizFile Online website. Once the articles are filed, you'll need to appoint a board of directors who will oversee the corporation's activities. The board will then draft corporate bylaws (the internal rules). Can a buyer back out of a purchase agreement?
I am trying to sell my company and the buyer has gone silent. We have top terms agreed to and a LOI signed, but we have not put a purchase agreement in place yet. Can they legally back out if we have a LOI signed?

With the caveat that I am a Pennsylvania and not Texas attorney, most LOI's are non-binding, unless the LOI itself provides otherwise. A lawyer would need to review the LOI to determine whether the deal can be enforced. Mostly likely, however, it cannot be enforced.
