Purchase and Sale Agreement
Massachusetts
Purchase and sale agreement and closing costs?
I am in the process of purchasing a home and I am looking at signing a Purchase and Sale Agreement. I am trying to understand what closing costs I will need to pay in order to complete the transaction. I want to make sure I am aware of all the costs associated with this purchase so that I can plan accordingly.
Moss S.
In Massachusetts it is advisable to have an attorney represent you in negotiating a Purchase and Sale Agreement. Purchasing a home is usually the most expensive item that a person buys in their lifetime. Regarding closing costs, they are driven mostly by your lender.

You will need an attorney to advise you, as such, you will need to post your project on the website Here are the steps you need to take to accomplish this 1. Post the job you need to get accomplished – for example “ I am looking for a California attorney to assist me in the sale of my property and to help me get the county to approve the sale -------------“ 2. Once posted, attorneys on the website that are interested and qualified will respond to your posting 3. Choose an attorney/s based upon their qualifications and cover letter to have a quick call so that you can decide who you would like to hire. 4. Once you have decided who to hire, click “HIRE” and that attorney will now be hired by you. Donya Gordon, Esq.

Industrial Building Lease
Connecticut
Can a landlord terminate an industrial building lease before the agreed upon end date?
I am currently leasing an industrial building for my manufacturing business, and we have encountered financial difficulties due to the COVID-19 pandemic. Our landlord recently informed us that they would like to terminate the lease before the agreed upon end date as they have found another tenant willing to pay a higher rent. We have invested a significant amount of money into customizing the space for our specific needs and are concerned about the financial impact of relocating. I would like to know if the landlord has the right to terminate the lease early and what options are available to protect our business interests in this situation.
Samantha O.
Hello there! Great question. The lease should discuss early termination options, if any. I'd be happy to review the lease for you and confirm this. Have a great day!

Real Estate Contract for Sale
Iowa
If a property is under contract as "seller financed" is it possible for the last buyer to enter into an option to buy contract with a new buyer?
The current owner of a property is under contract making monthly payments with the previous seller/title holder who is financing the loan. The property under contract is not occupied by the current owner. Another party is interested in buying the property, but desires to do research first, and would like to enter into a 6-12 month option to buy contract with the current owner. Is it possible for two contracts to exist on the same property?
Brad B.
Typically interests in real estate are assignable - meaning either the buyer or the seller could sell their rights under the contract to another party. An interested buyer could also enter into a contract where the second buyer have the right to buy the property even though the seller doesn't have full legal title to the property yet. Assuming there is no contractual provision restricting the assignment of rights under the contract, Buyer I and Buyer II could enter into an agreement that states that Buyer II would have the option to purchase Buyer I's interest under the contract. If Buyer II executed the option, then Buyer II would start making the payments are required by the contract. It's important to note that Buyer I would still be liable to make the payments to seller if Buyer II failed to do so. As an agreement between Buyer I and Buyer II does not change the contract between Buyer I and Seller. If the Seller is involved, the original contract could be amended or assigned to Buyer II. As an alternative, Buyer I and Buyer could enter into an agreement where upon Buyer II's executing their option to buy the real estate, Buyer II would provide funds to Buyer I, who would in turn pay Seller what is owned under the contract. Buyer I would then be obligated to convey the real estate to Buyer II. Depending on the facts there might be other alternatives or possible solutions. Each matter depends on the facts. An attorney would be able to review the transaction and make a determination of what the best course would be given the client's needs.

Residential Listing Agreement
California
Can a seller terminate a Residential Listing Agreement before the agreed-upon period ends?
I recently entered into a Residential Listing Agreement with a real estate agent to sell my property, but I am now considering terminating the agreement before the agreed-upon period ends. The agent has not been able to generate any offers or interest in the property, and I am concerned about the lack of progress. I want to know if I have the right to terminate the agreement early and if there are any potential consequences or obligations I should be aware of.
Dolan W.
Hello! I'm so sorry you're having to deal with this. Legally speaking, most real estate agent agreements generally state you must pay their commissions even if you terminate the relationship, typically up to 6 months after the termination of the relationship. In theory, you have a breach of contract action if this person has not done any actual work or generated any offers or any interest in the property. This would likely make the agreement "unconscionable" in this case. So what does this mean? It means your best option is to negotiate the termination How do you do that? One little-known, but very effective tool that lawyers use to settle matters outside of court is called principled negotiation. All this means is that you are looking to get something done on the basis of principles, even if you can’t find a law to support you. It takes the anxiety out of dealing with the other side because you’re focused on the facts, not each other. With that said, here are some simple steps you can follow: Figure out what the other side’s interests are (saving money, saving time, etc.?); Think about what your interests are (saving money, saving time, etc.?); Come up with 2 to 3 reasonable and objective ways to solve the problem; Present it to the other side; If the other side rejects, ask them, “Is there a reason why you do not feel it is necessary to negotiate?” Consider what your best alternative to a negotiated agreement is. This will give you confidence that no matter what, you'll have an option. Of course, these are just building blocks to get the other party to help solve the dispute. Believe me when I say that good lawyers use this technique all the time to keep things out of court. You’ll find that it is very effective even with the most stubborn of individuals. Best of luck! Dolan
