In most cases, contracts only need to be signed by the parties to the contract. The contract should have the key information related t the parties signing and the terms and length of the agreement to name a few clauses that need to be included. There are some contracts that need to be notarized. The police may have a notary, but your bank may also. There are many components to your question - ownership of the business, who does what in the business, business formation, is there a need for insurance to cover risks, and other items. There are tools online to help or you can use an attorney. With an attorney you will get specific assistance for your business, online it may be more generalized information you find.

When to send a Cease and Desist Letter?
I am a small business owner (retailer), and had a long time staff member (Michael) develop a drinking problem. He felt comfortable enough to come to work intoxicated on a few occasions putting the rest of the staff and my business at risk. He was a supporting manager and had keys to the store. One day he had to be driven home from work because he was too inebriated. Another staff member who drove him to his home gave him a couple of days to come clean to me before she would tell me what happened. He never told me even though i gave him every opportunity to do so. So I had a meeting with him and explained that I was disappointed and wanted to help him, but my business and family had to be protected as well so I took his keys and title away while keeping him employed and at the same pay rate. I did this in hopes that he would get some help and didn't have to worry about being unemployed. Then Covid hit. Had to shut down for a little while. I kept in communication with my team (including Michael) throughout. Everyone responded except Michael. When it was time to re-open I asked everyone to respond letting me know if they were coming back to work. Everyone responded except Michael. Never heard from him again. So, I terminated him under "job abandonment". He then went to work at another local shop, and so I was happy for him and went on with my life and business. A couple of weeks ago I started to get some messages from mutual friends asking me what Michael was posting about on Facebook and other platforms and it turns out he has been posting derogatory comments (all lies) about how we treated him horribly and these could affect my business. None of our staff members can see these posts directly because he has blocked us all. We have, however, been receiving screenshots from mutual friends. Again, this went down over two years ago! I kept him employed I paid him through the pandemic including doing his unemployment paperwork weekly. I didn't fire him. He chose not to come back to work I demoted him and kept him at the same pay rate I tried every way that I could to help him find help I simply want this to stop as I did nothing wrong and did much more than any other employer would have. His parents are enablers and are probably behind this.

If the Michael has been posting false FACTUAL statements about you or your company, despite his knowledge that they are false, and reputational harm could occur, you may have a claim against him for defamation of character. If, on the other hand, he has been posting negative OPINIONS about you or your company, that is unfortunately not illegal and therefore a cease and desist letter would have no "teeth."

Can I file a claim for unpaid overtime wages?
I have been working for a small consulting firm for the past two years, and I recently discovered that I have not been receiving overtime pay despite regularly working more than 40 hours per week. According to my employment contract, I am classified as an exempt employee, but after researching the Fair Labor Standards Act, I believe that I may be misclassified and entitled to overtime compensation. I would like to know if I have a valid claim for unpaid overtime wages and what steps I should take to pursue this matter legally.

If you are "non-exempt" and thereby entitled to overtime. Determining whether a worker is an "exempt" employee and not entitled to overtime requires application of the law to the facts. For instance, an "exempt" executive employee are paid not less than $455 per week, have their primary duty to manage part of the busisess, regularly direct the work of two or more other employees, and have the authority to hire or fire other employees or to make recommendations about hiring and firing taken into account by their employers. An "exempt" administrative employee, are also paid at least $455 a week and has the primary duty of the performance of office or non-manual work directly related to the management or general business operations of the employer or its customers--and is an employee whose primary duty for the employer involves exercising their discretion and independent judgment with respect to matters significant to the employer. It's not always easy to determine if someone is a managerial or administrative employee however and it can be a gray area. There are lots of examples of overtime exemptions such as computer and creative professionals, outside sales people, some truck drviers, some mechanics and some people working at auto dealerships. You may be non-exempt and eligible for overtime under the law if you are a paid a salary based on a 40 hour work week but work more than 40 hours. If you are eligible for overtime there are laws protecting you from retaliation for complaining about not being paid overtime.

Can a partner assign their interest in a partnership to another person without the consent of the other partners?
I am a partner in a small business partnership and I recently discovered that one of my partners plans to assign their interest in the partnership to a third party without informing or seeking consent from the other partners. This raises concerns for me as we have a close-knit working relationship and I believe that such a significant change in ownership should require the approval of all partners. I would like to know if it is legally permissible for a partner to assign their interest in a partnership without the consent of the other partners, and what actions can be taken to protect the interests of the remaining partners in such a situation.

Hello! My name is Dolan and I'm happy to answer this question. The short answer? Whether your partner can assign their interest without your consent depends on your partnership agreement. Most agreements require all partners to approve something like this, especially in a close-knit setup like yours. If there’s no agreement or it doesn’t cover this, state law usually allows a partner to transfer their financial stake (like profits and losses) but not their management rights or status as a partner without everyone’s okay. First, check your partnership agreement to see if this move breaks the rules. If it does, you can push back. If there’s no agreement, the new person likely can’t step into full partnership status without your consent. To avoid issues like this in the future, consider updating the agreement to require unanimous approval for transfers.
