Contractual Agreement
Michigan
Me and my friends are planning to start a business.but using using my Friend's place..so what type of contract should I look into??
Can I draft my own contract and take it to police to stamp it after reaching my agreement with my friend,?
David H.
In most cases, contracts only need to be signed by the parties to the contract. The contract should have the key information related t the parties signing and the terms and length of the agreement to name a few clauses that need to be included. There are some contracts that need to be notarized. The police may have a notary, but your bank may also. There are many components to your question - ownership of the business, who does what in the business, business formation, is there a need for insurance to cover risks, and other items. There are tools online to help or you can use an attorney. With an attorney you will get specific assistance for your business, online it may be more generalized information you find.

Multi-Member LLC
Ohio
Can you explain the process and requirements for forming a multi-member LLC?
I am currently in the process of starting a new business with two partners, and we have decided to form a multi-member LLC. We have a general understanding of what an LLC is and how it offers liability protection, but we are unsure about the specific steps and requirements involved in forming a multi-member LLC. We would like to know about the necessary documents, filing procedures, and any other legal considerations that we should be aware of in order to properly establish our LLC and protect our interests.
Paul S.
You will need to file articles of organization with the Secretary of State of the state where you want to form the LLC. This is relatively easy. More importantly, because you will have 2 or more members, you should have an operating agreement. This is a contract between the members, detailing who the members are, what percentages of the LLC each member owns, how the LLC will be managed, how profits and losses will be allocated, and how distributions will be allocated. The operating agreement should also put restrictions on voluntary and involuntary (think divorce, death, bankruptcy) transfers of ownership, so that you don't suddenly end up with a new member that you don't want. The operating agreement is not filed with the state. You should have an experienced lawyer help you with the operating agreement, as it can be pretty complex.

Website Hosting Agreement
New York
Can a website hosting agreement be terminated if the hosting provider fails to meet the agreed-upon uptime guarantee?
I recently signed a website hosting agreement with a hosting provider for my e-commerce business. The agreement included an uptime guarantee of 99.9%. However, in the past few months, the hosting provider has experienced frequent downtime causing significant disruptions to my business operations. Despite repeated complaints and requests for resolution, the issue persists. I would like to know if I have grounds to terminate the hosting agreement and seek compensation for the losses incurred due to the hosting provider's failure to meet the uptime guarantee.
Daehoon P.
In many website hosting agreements, an uptime guarantee is a critical component, and failure to meet this benchmark can be considered a breach of contract. If your provider’s frequent downtime falls significantly short of the promised 99.9% uptime, and the contract includes specific provisions that allow for termination or remedies when such service levels are not met, you likely have grounds to terminate the agreement. Often, these agreements include Service Level Agreements (SLAs) that specify remedies—such as service credits, termination rights, or even compensation for losses—in the event of persistent performance issues. However, whether you can terminate the hosting agreement and seek compensation for your losses depends largely on the exact terms outlined in your contract. Some agreements may require you to follow a specific dispute resolution process or provide the hosting provider with a cure period before termination is permitted. Additionally, even if the contract does not explicitly state termination rights for failing to meet the uptime guarantee, consistent and significant performance issues may be argued as a material breach. It is advisable to review your contract carefully and consult with a legal professional who can help you determine your rights and the best course of action based on the specific language and remedies provided in your agreement.

Employment Agreement
Oklahoma
Are 1099 employees responsible for there own break time and lunch time?
The job im at I am a 1099 employee but they tell us when to get here when our breaks are when our lunch is and when we leave. Doesn't that technically mean that we are W2 workers?
Jonathan K.
First of all, there is no such thing as a 1099 employee. You are either an independent contractor or an employee. Second, yes, if you are being told when to take a break or have lunch, then you are probably an employee and not an independent contractor.
Quick, user friendly and one of the better ways I've come across to get ahold of lawyers willing to take new clients.
