Consulting with a qualified attorney is crucial to tailor the agreement to your specific needs. Here are some key areas to focus on: 1. Stock Description: Clearly define the shares being purchased, including the class of stock, number of shares, and any special rights or restrictions associated with the shares. You absolutely want to see the full record of the articles of incorporation, bylaws and any possibly existing shareholder agreements that could modify your rights in any way. 2. Purchase Price and Payment Terms: Specify the agreed-upon purchase price, payment structure (e.g., lump sum or installment), and any contingencies or adjustments based on audited financial statements or other factors. 3. The stock sale transaction is approved by the Board of Directors and possibly the Shareholders. You should be able to see the corporate action, either as a Written Consent or a Resolution taken by vote and certified by the corporate Secretary, who is the officer responsible for recording the minutes. 4. Representations and Warranties: Require the seller to make certain representations and warranties regarding the company's financial condition, assets, liabilities, contracts, intellectual property, compliance with laws, and any pending litigation. 5. Registering a Canadian entity to do business in the United States involves several key steps, which can differ slightly depending on the state. The following may help you through the process, but should not be considered legal advice: Choose the State: Decide which state(s) you will be doing business in, as each has its own specific requirements and procedures for foreign entity registration. Appoint a Registered Agent: Select a registered agent within the state. This person or business entity will receive legal and tax documents on behalf of your company and must have a physical address in the state. Check Business Name Availability: Ensure your business name is available in the chosen state. If needed, reserve the name to guarantee it’s available when you file your registration. Prepare Necessary Documents: Typically, you will need to file a Certificate of Authority (also known as Foreign Qualification or Application for Registration). This document generally requires: The name of your business. The state or country where your business was originally formed. The date of formation. The principal office address. The address of the registered agent in the state. Names and addresses of directors, officers, or members. Get a Certificate of Good Standing: Obtain a Certificate of Good Standing (or Certificate of Existence) from the province in Canada where your business was formed. This document verifies that your business is in compliance with local laws. In most cases, contracts only need to be signed by the parties to the contract. The contract should have the key information related t the parties signing and the terms and length of the agreement to name a few clauses that need to be included. There are some contracts that need to be notarized. The police may have a notary, but your bank may also. There are many components to your question - ownership of the business, who does what in the business, business formation, is there a need for insurance to cover risks, and other items. There are tools online to help or you can use an attorney. With an attorney you will get specific assistance for your business, online it may be more generalized information you find.
