We really need to know more about the business and how everyone envisions ownership in order to answer the question. In general (and this is very general - I am a PA lawyer, not Tennessee), a limited partnership is an entity through which a business or property is owned. In a limited partnership, you need to have a general partner (either one more individuals or entities) who essentially manage the entity, and also have liability for all liabilities of the general partnership. The limited partners invest in the entity, but have no liability for the entity's obligations.

Business acquisition agreements are often entered into subject and conditioned upon t he right of the Buyer to conduct a due diligence review during an agreed upon time frame ...with the obligation of the Buyer entity to finalize the deal very much contingent upon the findings of any such due diligence review. In short, the due diligence review provides the Buyer with a comfort level that the asset it is buying is what it has bargained for. A due diligence review involves a review, without limitation, of the Selling company's books and records, existing loan/debt obligations, an inventory review, a review of independent contractor/materialmen agreements, property leases and title and judgement research. Signing a purchase contract with an appropriate due diligence provision also enables the Buyer to "tie-up" asset for the agreed price during the due diligence period..

I am not sure what this certificate is, why it is necessary, and how I can obtain one for my business. Could you please explain what a Certificate of Good Standing is and its significance in the context of business operations and loan applications?

A certificate of good standing is simply a due diligence item the lender will require showing your business entity is in "good standing" with the state in which the business was formed. "Good standing" means the business is operational and has paid its taxes (franchise taxes, etc) and is up to date on all annual fees, etc. To get the certificate, you can log on to your state of formation's secretary of state website (usually under the section entitled "business services") and you can purchase a certificate of good standing for a minimal fee.

How does an LLC work?

I am in the process of starting a business and have been advised to form an LLC. I am not familiar with the structure of an LLC, and am interested in learning more about how it works and the benefits it provides. Tax: An LLC is a "pass-through" entity, so it does not pay income taxes. Instead, its owners pay income taxes on their share of the LLCs profits. So it avoids the double taxation of corporations (the corporate pays income taxes and then the stockholders pay income taxes on their dividends). 2. An LLC is controlled by its "Operating Agreement" (similar to corporate bylaws). An LLC can be set up as a limited partnership (passive investors, and the Managers have 100% control - e.g. real estate), a corporation (the investors get to vote once a year for a "Board of Managers" - a business with significant investment), or a partnership (no board, the owners all vote on every issue - a professional services firm). The choice depends on the nature of the business.
