I am a business attorney and former in-house corporate attorney with more than a decade of experience helping companies navigate contracts, commercial relationships, day-to-day operations, and disputes. My practice includes drafting, reviewing, and negotiating commercial agreements, licenses, leases, vendor and service agreements, and other business arrangements. Licensed in Nevada, California, New York, and Texas, I also hold an Executive MBA. My goal is to serve as practical, long-term outside counsel to small businesses and entrepreneurs that value responsiveness, sound judgment, and advice grounded in commercial realities - not merely technical legal answers. I handle disputes when necessary, but much of the value I bring lies in identifying issues early, preserving business relationships, and preventing avoidable conflicts. I do not bill separately for routine phone calls. I want clients to feel comfortable calling before a small concern becomes an expensive problem, and I am always happy to have an initial conversation to see if the fit is right for you. www.linkedin.com/in/maxkelner

Dennis Sponer co-founded ScripNet, a uniquely designed Pharmacy Benefit Management (PBM) company in 1997. After serving as In-House Counsel for one of Las Vegas’ largest healthcare conglomerates, Dennis devised a payor based technological solution to the challenge of pharmaceutical payment and remittance. As one of the first workers’ compensation specific Pharmacy Benefit Managers in the industry, Dennis pushed the boundaries of what a PBM can do. ScripNet was a three-time winner of the Inc. 500 and was named to the Inc. 5000 numerous times thereafter. Clients of ScripNet included some of the largest carriers, governmental entities, and self-insured employers in the nation, including FedEx, Starbucks, Lockheed Martin, the Cities of Dallas, Atlanta and Philadelphia as well as the State of Texas and the State of Nevada. After fifteen years of exceptional growth and class leading industry recognition, ScripNet was acquired in 2012 by Optum Healthcare Solutions. After selling ScripNet, Dennis served as Executive Vice President for the acquiring company and was successful in integrating ScripNet into the larger entity. His latest venture, HSARx, was a consumer facing Pharmacy Benefit Manager focused on the owners of health savings accounts. He sold HSARx to SwiftScript in October of 2023. Dennis obtained his Juris Doctorate from Brigham Young University where he served as Note and Comment Editor of the Law Review. He then obtained his Master of Laws in Taxation (L.L.M.) from the University of San Diego. After selling ScripNet, Dennis returned to school to earn his TRIUM MBA, the program jointly administered by New York University's Stern School of Business, the London School of Economics and HEC Paris. Commercial Lease

New York

Asked on Apr 25, 2023

What's the entire agreement clause in a commercial lease?

I am a small business owner who recently signed a commercial lease for my business premises. I am concerned about the “entire agreement” clause in the lease, as I am not sure what it covers and what the implications are for me and my business. I am looking for clarification on the clause and any potential risks associated with it.

Matthew S.

Answered Apr 27, 2023

This is a contractual provision which aims to prevent the party relying on it from being liable for any statements or representations (including pre-contractual representations) except as expressly set out in the agreement. It generally precludes the introduction of parol evidence or evidences of other agreements that are not in writing.

Terms and Conditions

Florida

Asked on Nov 30, 2023

Why are terms and conditions long?

I am a small business owner who is in the process of creating a website for my business. I have been researching terms and conditions for websites, and I noticed that most of them are very long. I want to make sure that my terms and conditions are comprehensive to protect my business, but I am worried that if they are too long, customers may not read them. That is why I am asking why terms and conditions are so long.

Diane D.

Answered Dec 19, 2023

Because every type of situation needs to be covered to protect you. That cannot be done in a paragraph or two.

Subscription Agreement

New York

Asked on Dec 11, 2024

Can a subscription agreement be terminated before the agreed-upon term if the company fails to deliver the promised services?

I recently entered into a subscription agreement with a company for their monthly service, which was advertised as providing a specific set of services. However, since signing the agreement, I have encountered numerous issues with the company's performance, including frequent service outages and failure to deliver the promised services. I am now considering terminating the subscription agreement before the agreed-upon term, but I am unsure if I have legal grounds to do so based on the company's failure to fulfill their obligations under the agreement.

Damien B.

Answered Dec 12, 2024

Hello! A material breach occurs when one party fails to perform an essential part of the contract, depriving the other party of its expected benefits. If the company’s failure to deliver the promised services meets this threshold, it could justify termination. If the company has demonstrably failed to uphold its obligations and this failure undermines the agreement's purpose, you may have legal grounds to terminate. If you need a consultation, just let me know.

Consulting Agreement

Massachusetts

Asked on Jun 8, 2024

Can a consulting agreement be terminated without cause?

I have recently entered into a consulting agreement with a company to provide my expertise and services on a project basis. However, I have concerns about the termination clause in the agreement, as it states that the company can terminate the agreement at any time, without cause. This worries me because it leaves me vulnerable to sudden termination without any valid reason, potentially resulting in financial loss and damage to my professional reputation. I would like to understand if such a termination clause is legally enforceable and what options I have to protect my interests in this agreement.

Laura H.

Answered Jun 11, 2024

As a general rule, a contract can be terminated without cause if the document says as much. It's a good idea to have your agreement reviewed by a local attorney for more information.

Waiver And Release

Washington

Asked on Aug 19, 2024

Can a Release and Waiver Agreement protect me from liability if someone gets injured while participating in an activity I organized?

I recently organized a charity event where participants engage in physically demanding activities such as obstacle courses and sports. I want to ensure that I am not held liable for any injuries that may occur during the event, so I am considering having participants sign a Release and Waiver Agreement. However, I am unsure if this agreement would actually protect me from potential legal claims and if there are any specific requirements or limitations I should be aware of when drafting the agreement.

Merry K.

Answered Sep 13, 2024

First, if a participant is under 18, their parent or legal guardian must sign for them. Second, all these types of releases/waivers do is slow people down or discourage them from suing, but a good attorney can get around most of these (especially ones you buy off the internet). You should, at a minimum, make a good effort to ensure that all activities are as safe as possible, and also make sure you, your Board members, staff, and the organization are covered by solid insurance. I'm not trying to discourage you - I just want you to be very careful.
