You should sign a PSA after you have done your due diligence. You will need to look at the financials and the books of the company and complete any background check, including searching the court system for any lawsuits against the entity. Once you are comfortable with what you see, and you have the PSA reviewed by an attorney and it is in line with what the parties agreed to and protects your rights, then you can sign. Should I have my gym members sign a separate liability waiver or is it fine to put language in my membership agreement?

I run in gym in New Jersey and currently have a clause in my membership agreement that covers our liability. I want to understand if that is enough or if I should have a separate document for my members to sign.

Who writes the purchase and sale agreement?

We are looking to buy a home in New Jersey and our relator has discussed using a template for a purchase and sale agreement. Should we hire a lawyer to handle this? I'm not sure what this template is and I'm a bit uncomfortable with the idea of using a template since I'm not sure if it protects our best interest in the purchase.

Whoever drafts the PSA, will draft it to their benefit. This is the reason that buyers, not sellers, will tend to draft the document as the seller is leaving the business and the buyer is gaining the business. Buyers therefore, tend to benefit from the draft of the agreement as they outline the things they will need to feel comfortable enough to proceed with the sale. Are non-competes part of a business purchase agreement?

I am in the process of purchasing a business and need to know if a non-compete agreement is part of the purchase agreement. I understand that the non-compete agreement will help to protect my business from competition but I am not sure if this is included in the purchase agreement. I also need to know the implications of including a non-compete agreement in the purchase agreement.

Many purchase agreements do include non-competes, which are typically geographically limited and limited in terms of duration. The implication for the seller is straight forward. As a practial matter, the buyer benefits from a non-compete because it limits competion from the seller for business within the community in which the buyer will operate following the purchase of the business, or competition from the seller over the same potential customers, which aids profitability.
