Purchase And Sale Agreement
New Jersey
Who writes the purchase and sale agreement?
We are looking to buy a home in New Jersey and our relator has discussed using a template for a purchase and sale agreement. Should we hire a lawyer to handle this? I'm not sure what this template is and I'm a bit uncomfortable with the idea of using a template since I'm not sure if it protects our best interest in the purchase.
Donya G.
Whoever drafts the PSA, will draft it to their benefit. This is the reason that buyers, not sellers, will tend to draft the document as the seller is leaving the business and the buyer is gaining the business. Buyers therefore, tend to benefit from the draft of the agreement as they outline the things they will need to feel comfortable enough to proceed with the sale. I have extensive experience with PSA agreements. If you need drafting or reviewing assistance, you can contact me through the website or directly to my profile page at Donya Gordon Donya Gordon

Purchase And Sale Contract
New Jersey
When do you sign a purchase and sale agreement?
Getting my ducks in a row for a house transaction that is coming up. Who signs and when do you sign?
Donya G.
You should sign a PSA after you have done your due diligence. You will need to look at the financials and the books of the company and complete any background check, including searching the court system for any lawsuits against the entity. Once you are comfortable with what you see, and you have the PSA reviewed by an attorney and it is in line with what the parties agreed to and protects your rights, then you can sign. As a contracts attorney that specializes in the purchase and sale of business, I can assist you with your PSA. You can find me on the website or my profile page - Donya Gordon Donya Gordon

Waiver
New Jersey
Should I have my gym members sign a separate liability waiver or is it fine to put language in my membership agreement?
I run in gym in New Jersey and currently have a clause in my membership agreement that covers our liability. I want to understand if that is enough or if I should have a separate document for my members to sign.
Jane C.
Yes. If worded correctly, a liability waiver is effective. Note that a few states do not allow liability waivers and others have strict requirements for their enforceability. Operating Agreement
Texas
Do I need to file my Operating Agreement in Texas?
I know I need one but does it go with State filing?
George O.
No, but you definitely need to have one, preferably reviewed and prepared by a lawyer; there are a lot of businesses that will give you templates, etc., but do not have the experience and knowledge that a lawyer brings to the table.

Quick, user friendly and one of the better ways I've come across to get ahold of lawyers willing to take new clients.
View Trustpilot ReviewContracts Counsel was incredibly helpful and easy to use. I submitted a project for a lawyer's help within a day I had received over 6 proposals from qualified lawyers. I submitted a bid that works best for my business and we went forward with the project.
View Trustpilot ReviewI never knew how difficult it was to obtain representation or a lawyer, and ContractsCounsel was EXACTLY the type of service I was hoping for when I was in a pinch. Working with their service was efficient, effective and made me feel in control. Thank you so much and should I ever need attorney services down the road, I'll certainly be a repeat customer.
View Trustpilot ReviewI got 5 bids within 24h of posting my project. I choose the person who provided the most detailed and relevant intro letter, highlighting their experience relevant to my project. I am very satisfied with the outcome and quality of the two agreements that were produced, they actually far exceed my expectations.
