After starting my professional career in Human Resources in the Healthcare and Non-profit fields, I decided to expand my options and attended law school, passing the North Carolina bar in 2016. Since then, I have practiced in-house for healthcare companies, in the civil rights arena, and run my own business. I am currently looking to return to my legal roots and am excited to practice business law again.

"Excellent service by a knowledgeable attorney at a lower price than I expected. Her comprehensive organizational program identified end of life planning I needed to do and provided a system to help keep all my information where I can easily update it and help my loved ones when they will need it most. I will use Ms. Abbasi again in the future. I highly recommend her for all estate planning needs."

I am an experienced Intellectual Property attorney registered with the USPTO and have managed my solo practice for over a decade. As part of my practice, I handle trademark and patent concerns for my clients. I’ve performed extensive prior art searches, drafted patent applications, and prosecuted patents across a broad range of technologies. I've helped my clients secure protection for both standard character and special form marks across a a variety of classes from candles to dog collars. I believe, as an IP attorney, that I can facilitate the development of new technologies by protecting your rights from infringement or helping you enter the market by establishing those rights from the ground up. More importantly, I believe it should be an open and affordable process that’s accessible to anyone pushing the bounds of innovation.

Business Purchase Agreement

North Carolina

Asked on Oct 19, 2023

Does a business purchase agreement need notarization?

I am in the process of purchasing a business and I have been presented with a business purchase agreement. I want to make sure that I am making the right decision and that all documents are properly documented. I understand that some legal documents may require notarization and I wanted to confirm if a business purchase agreement requires notarization.

N'kia N.

Answered Oct 30, 2023

North Carolina does not require business purchase agreements to be notarized. However, some documents related to the business purchase deal might require notarization. For example, any deeds needed for the deal will likely have to be notarized. Some business purchase deals are pretty simple, while others can be rather complex. In many situations, it is ideal for each party to have at least one attorney representing them in the negotiations and preparing the necessary documents. If you have questions or concerns about a business purchase agreement, you might consider consulting with a knowledgeable corporate attorney. Good luck!

Dissolution Agreement

California

Asked on Oct 5, 2024

What is the process for dissolving a corporation?

I am the owner of a small corporation that has been struggling financially for the past few years, and I have finally made the difficult decision to dissolve the company. However, I am unsure about the legal steps involved in the dissolution process and want to ensure that I am following all necessary procedures to avoid any potential liabilities or complications in the future. I would greatly appreciate it if you could provide me with an overview of the process for dissolving a corporation, including any required paperwork, notifications, and potential legal considerations.

Dolan W.

Answered Oct 22, 2024

Hello! I'm so sorry you're having to deal with that. To start, you'll need to formally decide to dissolve the company. This usually involves a resolution by the board of directors and a vote by the shareholders, with the required percentage of votes depending on your bylaws. You've got to then file final tax returns. It's also essential to properly notify your creditors that the corporation is dissolving. This usually involves sending written notice to all known creditors, providing them with instructions for filing claims against the corporation. The other step is to file the actual dissolution documents with the state. The state allows you to do this online. Dissolving a corporation can be really difficult so please consult with us for more! Best of luck! Dolan

You need to categorize each asset and revenue source, and your personal tax situation, and amend or create entities as needed.
