North Carolina does not require business purchase agreements to be notarized. However, some documents related to the business purchase deal might require notarization. For example, any deeds needed for the deal will likely have to be notarized. Some business purchase deals are pretty simple, while others can be rather complex. I am a member of an LLC and we have encountered a disagreement regarding certain provisions in our operating agreement that one member wishes to modify in order to better suit our evolving business needs, while another member believes the existing agreement should remain unchanged. We are seeking clarification on the legal requirements for amending the operating agreement and the extent to which unanimous consent is necessary.

I am looking to restructure my business, which is incorporated as an S corp. I am looking for advice on how to best restructure the business to ensure that all legal requirements are met and that the new structure is advantageous for the business. I am seeking legal advice on the best approach and the potential implications of each option.

Hi: Generally speaking, you have several options (many of which you've identified). 1. You can revoke S-Corp status (if you have a corporation and want C-Corp status). However, revocation won't be effective until the 2024 tax year. With that said, sometimes people inadvertently revoke S-Corp status by taking certain actions (which we can discuss). 2. You can create a new entity and structure it in the way you want (corporation, LLC, partnership, etc.). Then, you can wind down the S-Corp. 3. You can merge your existing S-Corp into an entity and have that entity survive and your S-Corp "merge out" and disappear. The approach that makes the most sense depends upon your business, the assets held by your S-Corp, and your objectives. Best regards, Chris Jackson

I have recently been informed by my employer that my position is being eliminated due to company restructuring, and they have offered me a severance agreement. However, I have concerns about some of the terms in the agreement, such as the non-compete clause and the amount of severance pay being offered. Severance Agreements are often presented to employees as a "take it or leave it proposition": however, it has been my experience that many of the underlying provisions of these severance agreements are, in fact, negotiable. Also, as an employee, you are not without rights...a fact that is often, though reluctantly, recognized by employers. the agreements prepared on behalf of employers are often heavy handed and should not be entered into by the employee without advice of coounsel./
