Prior to becoming an attorney, Mr. Dimitry Alexander Kaplun had been involved with many industries and professions, and helped manage, create, and advise a wide range of businesses around the world. While at Drexel University as a computer science major, he became an NASD licensed representative and was employed by Fortune 100 insurance companies, including Prudential, AIG, and NY Life, first specializing in financial investments for life and annuity products, and then expanding his expertise to mutual finds, stocks, environmental insurance, and real property. Soon after switching his major to business, Mr. Kaplun worked for a telecommunication service company first in quality assurance and then as a database programmer and developer, with sole and exclusive responsibilities for a multitude of warehouses located around the continental United States. Working on-site and from the company headquarters, he was responsible for streamlining processes for internal departments while fulfilling the quickly changing needs to the company clients, most notably Verizon Wireless. Mr. Kaplun opened his practice in 2008. Prior to starting his practice, he worked as a paralegal instructor for Prism Career Institute, creating the lesson plans for the whole program and focusing his instruction on substantive and procedural laws for general practitioners. My name is Deborah Schwab, and I am an experienced attorney with a background in real estate, contract negotiation, and corporate governance. Currently, I am a transactional counsel with Priscott Legal, LLC, the partner law firm of Ontra.ai. In this remote role, I represent private equity and VC firms and negotiate a high volume of non-disclosure agreements, joinders, and other legal contracts. Prior to this, I served as legal counsel for PennTex Ventures, LLC, where I was responsible for negotiating, drafting, and reviewing contracts and agreements for sales and acquisition of real estate, lease negotiation, and resolving issues involving ancillary transactions. As the first in-house counsel for PTV, I was responsible for all legal and compliance matters and managed outside legal counsel. Before joining PennTex Ventures, I worked as real estate counsel for 84 Lumber & Nemacolin Woodlands, Inc., where I acquired eleven properties with a portfolio value in excess of $15 million. Prior to this, I spent several years as an attorney and supervisor at CNX/Consol Energy, where I worked as a title attorney, trained and managed a team of title attorneys/analysts, conducted due diligence for large land transactions, and identified business/legal risk exposure for multi-state projects. I received my Juris Doctor from Duquesne University and hold a Post Baccalaureate Paralegal Certificate from the same institution. Additionally, I earned a Bachelor of Arts from the University of Pittsburgh. I am also a court-appointed special advocate working as a volunteer with children who are in the foster care system. Thank you for taking the time to view my profile. I am always open to new opportunities and would be happy to connect with you.

SaaS Agreement

Connecticut

Asked on May 19, 2023

SaaS agreement and liability limitations?

I am a software developer looking to create a SaaS product. I am looking to create an agreement that outlines the responsibilities and liabilities of both parties involved. I am concerned about liability limitations in the event of a dispute or breach of contract, and want to make sure that both parties are adequately protected.

Thomas L.

Answered Jun 16, 2023

I have considerable experience with SaaS agreements. Liability for errors in the software is a specific negotiation between the parties, based on what damages are likely from the errors, and always exclude consequential damages.

Asked on Apr 21, 2021

Does my Privacy Policy need to address the GDPR?

Same as the CCPA. Should I worry about GDPR given we're a US business?

Ema T.

Answered Apr 21, 2021

If you are planning to operate in Europe you will need to address the GDPR. The GDPR is a EU regulation that addresses data protection and privacy of EU residents. It provides specific rights for users located in the EU. These rights should be addressed in your privacy policy and contain additional sections and information laid out for EU residents. Any information provided as an answer to these questions does not constitute legal advice and does not create an attorney-client relationship between the attorney and anyone in relation to any information provided under the Q & A section of this website.

Asked on Apr 21, 2021

Is agreeing to a ToS the same as signing a contract?

I would like to learn if opt ins to website agreements are the same as signing a contract.

Ema T.

Answered Apr 21, 2021

Terms of service can be a binding contract (if your terms of service are not binding they are basically useless). In most cases, if a user had actual or constructive notice that the use of the service is subject to the terms of service and the user has accepted the terms of service online then those terms of service will become a contract just as if the user has physically signed it. If however, after signing electronically the user is also required to sign a physical copy to become a customer the physical copy will usually prevail. Any information provided as an answer to these questions does not constitute legal advice and does not create an attorney-client relationship between the attorney and anyone in relation to any information provided under the Q & A section of this website.

Privacy Policy

New York

Asked on Apr 21, 2021

When do you recommend I draft a custom Privacy Policy for my site?

I downloaded a free privacy policy and we are starting to get more users on our site. I am not sure when I would need to draft something custom.

Ema T.

Answered Apr 21, 2021

The Privacy Policy should be located on your website from the moment your website is "up in the air" therefore it is recommended to contact a lawyer to draft it at least 2 weeks prior to the launching of the website. The privacy policy provides information to visitors of the website on the operators of the website collect, use, store and protect the personal data of the visitors. Personal data can be information provided by the users (personal and financial is most common) or information collected automatically such as IP. Each privacy policy should be tailored to the specific website or app. Any information provided as an answer to these questions does not constitute legal advice and does not create an attorney-client relationship between the attorney and anyone in relation to any information provided under the Q & A section of this website. it is being used because the exact content of the privacy policy is dependent upon the function of the site that it relates to, the information it gathered, and how it is being used. An important note about PP is that certain countries and states have specific rules regarding the use of their residence data and those should be addressed in your PP if you are planning to operate in these areas.
